No Authorization Required. The execution, delivery and performance by the Trustee of this Agreement shall not require the authorization, consent, or approval of, the giving of notice to, the filing or registration with, or the taking of any other action in respect of, any governmental authority or agency regulating the banking and corporate trust activities of the Trustee; and
No Authorization Required. No authorization, approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required either for (a) the grant by Grantor of the Lien granted hereby or the execution, delivery or performance of this Security Agreement by Grantor or (b) the perfection of or the exercise by Secured Party of its rights and remedies hereunder.
No Authorization Required. Except for such authorizations or approvals as shall have been obtained prior to the date hereof, no authorization or approval of any governmental agency or commission or public or quasi-public body or authority with jurisdiction over the Pledgor or any of its assets is necessary for the due execution and delivery of this Pledge Agreement or for the validity or enforceability hereof.
No Authorization Required. No authorization, approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required either (a) for the pledge by the Pledgor of the Pledged Collateral pursuant to this Agreement or for the execution, delivery or performance of this Agreement by the Pledgor or (b) for the exercise by the Collateral Agent of the voting or other rights provided for in this Agreement (except as may be required in connection with such disposition by laws affecting the offering and sale of securities generally and except for the filing of financing and/or continuation statements).
No Authorization Required. Other than as set forth in this Agreement, no authorizations, permits or consents are required from any governmental or administrative authority, any governing body of the Purchaser, or any third party (including, without limitation, any shareholders or creditors of the Purchaser) for the consummation of the transactions contemplated under this Agreement.
No Authorization Required. Except for the consent of the Exchange, no authorization, approval, order, license, permit or consent of any Governmental Entity, and no registration with, declaration or notice to or filing by with any such Governmental Entity, is required in order for Xxxxxx to incur the obligations expressed to be incurred by Xxxxxx in or pursuant to this Agreement, to execute and deliver all other documents and instruments to be delivered by Xxxxxx pursuant to this Agreement, to perform and observe the terms and provisions of this Agreement, and to render this Agreement a legal, valid and binding obligation of, and enforceable against, Xxxxxx, subject to applicable bankruptcy, insolvency, reorganization, moratorium and other similar laws affecting the rights and remedies of creditors and the general principles of equity.
No Authorization Required. No authorization, approval, or other action by Parent is required either (a) for the pledge by the Pledgor of the Collateral pursuant to this Agreement or for the execution, delivery or performance of this Agreement by the Pledgor or (b) for the exercise by the Pledgee of the rights provided for in this Agreement or the remedies in respect of the Collateral pursuant to this Agreement.
No Authorization Required. No consent, approval, authorization or order of, or qualification with, any court, governmental authority or any third party is required for the execution and delivery by Assignor of this Agreement or the consummation by Assignor of the transactions contemplated by this Agreement.
No Authorization Required. Except for compliance with the applicable requirements of the HSR Act, no consent, approval, authorization or order of, or qualification with, any court, governmental authority or any third party is required for the execution and delivery by Assignee of this Agreement or the consummation by Assignee of the transactions contemplated by this Agreement.
No Authorization Required. No authorizations, approvals or filings not already obtained and in full force and effect are required in connection with the execution and delivery of, or the performance of the obligations of the Issuer or the Seller, as applicable, under the Note Documents and the Transaction Documents.
