No Authority to Bind the Other Party. The parties to this Agreement are independent contractors and, except as provided in this Agreement or otherwise in a writing signed by both parties, neither party is authorized to act on behalf of the other or to bind the other. This Agreement does not establish any relationship of agency, partnership, or joint venture. Each party shall bear responsibility for its own employees, including terms of employment, wages, hours, tax withholding, required insurance, and daily direction and control. Except as otherwise set forth in an Addendum, the relationship created hereunder is non-exclusive as to each party.

No Authority to Bind the Other Party. Neither party shall have the authority to enter into contracts or agreements on behalf of the other party. This Agreement does not create a partnership of any kind between the parties, and nothing herein shall be construed to create an employer- employee, master-servant, or principal-agent relationship between the Board and the Facility in any respect.
