No Assignment or Waiver. This Agreement is personal in nature and may not be assigned, sold, pledged as security or otherwise transferred by Chairman, nor may any provision hereof be waived by either party without the prior written consent of the other party.

You may not assign your rights or obligations without our prior written consent. We may assign, novate or subcontract any of the Services or any other insurance broking, insurance administration and/or insurance consulting services without your prior consent.

Additionally, this Agreement may not be amended or modified, except in writing and approved by the Director of Residential Life or the Xxxx of Students. This Agreement may not be waived, in whole or in part, by delay in enforcement or otherwise, except, in each instance, as approved in writing by the Director of Residential Life or the Xxxx of Students.
