No Assignment of Released Claims. Each Releasing Party represents and warrants to the Released Parties that there has been no assignment or other transfer of any interest in any Released Claim.

Each Releasor, and Edison International, hereby covenants and agrees that it will not assign or transfer, or purport to assign or transfer, to any person or entity, including without limitation any of its Affiliates or Subsidiaries, any Claim it is releasing pursuant to this Agreement.

Employee further represents and warrants that Employee has not filed or initiated any legal, equitable, administrative or any other proceedings against the Company or any other Releasee, or any other person or entity released herein, and that no such proceeding has been filed or initiated on Employee’s behalf.
No Assignment of Released Claims. Neither Inverness nor any of the Inverness Releasors (as defined below) has sold, assigned or transferred, or purported to sell, assign or transfer (in each case, whether expressly, impliedly, voluntarily, by operation of law or otherwise) any interest in any Claim released under Section 4.1.1 against any one or more OraSure Releasees (as defined below) which (if not sold, assigned or transferred) an Inverness Releasor would now have, or hereafter would be able to claim to have, through the Effective Date (but not thereafter).

Neither OraSure nor any of the OraSure Releasors (as defined below) has sold, assigned or transferred, or purported to sell, assign or transfer (in each case, whether expressly, impliedly, voluntarily, by operation of law or otherwise) any interest in any Claim released under Section 4.1.2 against any one or more Inverness Releasees (as defined below) which (if not sold, assigned or transferred) an OraSure Releasor would now have, or hereafter would be able to claim to have through the Effective Date (but not thereafter).
No Assignment of Released Claims. Claimants, and each of them, represent and warrant that they have not assigned, sold, conveyed or otherwise transferred any of their rights, titles or interests in any of the released claims.
No Assignment of Released Claims. Each Investor represents and warrants that it has not assigned or conveyed any claims, which it has or purports to have against the Releases to any other person.
No Assignment of Released Claims. CCSD represents to CDM that neither it nor any other person or entity has assigned or transferred or purported to assign or transfer to any person or entity any of its Released Claims, nor have any such Released Claims been subrogated. In the event CCSD breaches the representations and warranties described above, CCSD agrees to indemnify and hold CDM and its respective Affiliates harmless against and from any such transfer or assignment of Released Claims, and against and from any Released Claim, including attorneys’ fees actually paid or incurred, arising out of any such transfer or assignment of Released Claims.
