NHS ADDITIONAL CLAUSES. The following new Clause 7 shall apply: Unless otherwise confirmed and/or agreed by the Customer in writing and subject to Clause 7.3, the Supplier shall ensure comprehensive product information relating to each category of the Products shall be placed by the Supplier into a GS1 certified data pool within the following timescales: Prior to or on the Commencement Date, in relation to all categories of Products to be provided as part of the Call Off Contract as at the Commencement Date; or Where further categories of Products are to be supplied in accordance with any Variation, prior to or on the date of implementation of such Variation. Where it is not practical for whatever reason for the Supplier to comply with its obligations under Clause 7.1 within the timescales stated, the Supplier shall provide an implementation plan and suggested timetable within which the Supplier shall achieve such compliance. The implementation plan and suggested timetable must be submitted by the Supplier for agreement by the Customer prior to the first Delivery of relevant Products under the Call Off Contract (such agreement not to be unreasonably withheld or delayed). Any failure by the Parties to agree such a timetable and implementation plan shall be referred to and resolved in accordance with Call Off Schedule 11: Dispute Resolution Procedure. Once a timetable and implementation plan have been agreed by the Customer, the Supplier shall comply with such timetable and plan as a condition of this Call Off Contract. Once product information relating to the Products is placed by the Supplier into a GS1 certified data pool, the Supplier shall, during the Call Off Contract Period, keep such information updated with any changes to the product data relating to the Products. MOD ADDITIONAL CLAUSES MOD additioanal clauses are set out in Schedule 16. CALL OFF SCHEDULE 15: CALL OFF TENDER CALL OFF SCHEDULE 16: MOD ADDITIONAL CLAUSES Introduction This Call Off Schedule 16 specifies the range of Additional Clauses requested by the Ministry of Defence as Customer that shall apply to this Call Off Contract. IMPLEMENTATION The appropriate changes have been made in this Call Off Contract to implement the MoD Additional Clauses specified in paragraph 3 and shall be deemed to be incorporated into this Call Off Contract.

  • Penalty Clause a. Non-execution of supply order - For the reasons of failure to supply partially or completely within 30 days, if the Procurement cell has to buy the items from the RC 2 (L-2), RC 3 (L-3) or approved local vendor firm, the rate difference in cost will be recovered from XX xxxxxx i.e. L1 /Billing Agency as appointed by the Rate Contract Holder. The difference amount will be deducted from the forthcoming bills of the supplier pertaining to any product. Repeated failure (Three times) to supply in part or in full may amount to termination of rate contract for the product (s) and forfeiture of Performance Security. Reasons of failure to supply the material will be communicated by the firm to the Procurement cell timely.

  • Indemnity Clause CONTRACTOR agrees to indemnify, save harmless, and release DISTRICT, and all its officers, agents, volunteers, and employees from and against any and all loss, damages, injury, liability, suits, and proceedings arising out of the performance of this contract which are caused in whole or in part by the acts or negligence of CONTRACTOR's officers, agents, volunteers, or employees, but not for claims arising from DISTRICT's sole negligence. The parties agree that if there are any Limitations of CONTRACTOR's Liability, including a limitation of liability for anyone for whom CONTRACTOR is responsible, such Limitations of Liability will not apply to injuries to persons, including death, or to damages to property.

  • Reopener Clause CSEA Chapter 167 or the District shall have the right to reopen this Agreement on matters pertaining to wages and health and welfare benefits and any one other Article by giving written notice in each year prior to June 30. Negotiations shall commence under this section within ten (10) working days after fulfillment of the public notice requirements. The terms and conditions of this Agreement will remain in full force and effect during such negotiations. By mutual agreement, time lines may be modified to accommodate the negotiations process.
