Except as otherwise provided in Section 6.14, before either Party issues any news release or publicly distributed promotional material regarding the Facility that mentions the Facility, such Party shall first provide a copy thereof to the other Party for its review and approval. ANY USE OF BERKSHIRE HATHAWAY’S NAME REQUIRES COMPANY’S PRIOR WRITTEN CONSENT. FOR THE AVOIDANCE OF DOUBT, THIS SECTION 13.6 DOES NOT AFFECT THE ABILITY OF ANY PARTY FROM DISCUSSING THE PROGRAM OR ANY ASPECT OF PROGRAM ADMINISTRATION DURING OPEN MEETINGS OR IN RESPONSE TO INQUIRIES BY CONSTITUENTS, CUSTOMERS, OR THE MEDIA, AND DOES NOT RESTRICT ANY PARTY’S STATEMENTS (WHETHER WRITTEN OR ORAL) BEFORE THE UTAH PUBLIC SERVICE COMMISSION.

During the exercise period for the Option Units, the Abraxas Parties shall provide to the Representative and its legal counsel, prior to their release, copies of all press releases, proposed communications with equity holders or other interested constituencies and other public announcements, and permit the Representative and its legal counsel to comment thereon prior to their release; provided, however, that (i) ordinary and routine communications not related to the offering may be provided concurrently with their release and (ii) the Partnership may make such releases as it is advised by its legal counsel that it is required to make in accordance with applicable law and the rules and regulations of any securities exchange or other self-regulatory organization. Any certificate signed by any officer of any Abraxas Party and delivered to the Representative or to counsel for the Underwriters pursuant to this Agreement shall be deemed a representation and warranty by such Abraxas Party to each Underwriter as to the matters covered thereby.
