New Sublease. In the event of any termination of this Sublease of which City has received written notice by reason of a surrender, cancellation, or termination by RIDA, excluding any termination under Sections 5.1(d) or 5.2(b), or as a result of the rejection or disaffirmance of this Sublease pursuant to bankruptcy law or other Law affecting creditors rights, or as a result of any other termination of this Sublease for any reason, then City shall deliver notice to each Permitted Lender that this Sublease has been terminated or rejected, as applicable. The notice shall include a statement of all Rent that would be due under this Sublease but for the termination hereof or the rejection of this Sublease, as applicable, and all other Events of Default, or breaches under this Sublease, that are then known to City, without the duty of inquiry; provided that in no event shall such notice prevent or estop City from asserting other breaches under this Sublease or Events of Default that become known to City after the time the notice is sent to the Permitted Lender. The Permitted Mortgage Lender or any Permitted Mezzanine Lender or SPE Lender Affiliate (defined below) nominated by the first priority Permitted Mortgage Lender (a “New Tenant”) shall then have the option, to be exercised within seventy-five (75) days following receipt of such notice of termination or rejection, as applicable, to enter into a new lease (“New Sublease”) with City, in each case, on the following terms and conditions:
New Sublease. Upon the execution of a sublease (“Sublease”), during the Term or Protection Period, for space in the Property (“Premises”) by The Township and a prospective tenant, Broker shall earn a commission ("Sublease Commission") in an amount equal to the product of (A) either (I) four percent (4%), if a cooperating broker is not involved, or (II) two percent (2%), if a cooperating broker or intermediary is involved in the transaction , as applicable, multiplied by (B) the aggregate of the amounts specified in the Sublease as “Base Rent” to be paid by the prospective tenant during the primary (or initial) term of the Sublease. the Township shall pay the Sublease Commission to Broker (A) one half (1/2) within 10 days after the execution of the Sublease; and (B) one half (1/2) within ten (10) days of occupancy of the Premises by the tenant under the Sublease.
New Sublease. In the event that the Subleasehold Estate has terminated and the Leasehold Estate has also terminated (except with the consent of a Subleasehold Mortgagee or because of a Substantial Condemnation relating to the Subleasehold Estate), even if Subleasehold Mortgage failed to timely exercise its cure rights for a default under its Sublease, Landlord shall promptly give Subleasehold Mortgagee a Lease Termination Notice. By giving notice to Landlord on or before the day that is thirty (30) days after Subleasehold Mortgagee receives Landlord’s Lease Termination Notice (such thirty (30) day period, the "New Sublease Option Period"), subject to the remaining provisions of this Section 20.2, Subleasehold Mortgagee may require Landlord to enter into a New Sublease with New Subtenant. Landlord need not do so, however, unless New Subtenant has, subject to Unavoidable Delays, (a) in the New Sublease committed to cure all monetary defaults under the Sublease within thirty (30) days of commencement of the New Sublease, and to cure all non-monetary defaults under the Sublease (except Subtenant Specific Defaults) within forty five (45) days of commencement of the New Sublease, except, in the case of any such non-monetary defaults under the Sublease that cannot with due diligence be cured within forty five (45) days, New Subtenant shall have commenced such cure and committed in the New Sublease within a reasonable time under the circumstances and (b) reimbursed Landlord’s reasonable costs and expenses (including reasonable attorneysfees and expenses) to recover the Subleased Premises, and enter into the New Sublease. Notwithstanding the foregoing, it is expressly acknowledged and agreed that the rights of Subleasehold Mortgagee and New Subtenant under this Section 20.2 are subject and subordinate in all respects and for all purposes to the rights of Leasehold Mortgagee and New Tenant under Section 19.6 of this Lease. If Subleasehold Mortgagee exercises its option to require Landlord to enter into a New Sublease with New Subtenant, New Subtenant shall execute the New Sublease within thirty (30) days after expiration of the New Sublease Option Period or the option shall be deemed waived and of no further force and effect. In the event that a Successor Tenant acquires the Leasehold Estate through a Foreclosure Event or otherwise or New Tenant enters into a New Lease pursuant to Section 19.6 , then (x) if Subleasehold Mortgagee purports to exercise its remedies under this Sec...
New Sublease. IPC shall have executed and delivered the New Sublease in form and substance mutually satisfactory to Buyer and Seller (the "New Sublease") and IPC and the Seller shall have executed and delivered a termination of the Sublease in form and substance mutually satisfactory to Buyer and Seller.

  • New Lease In the event of the termination of this Lease as a result of Tenant's default prior to the expiration of the term, or in the event of a rejection by Landlord or Tenant of this Lease under Chapter 11 of the Bankruptcy Code, Landlord shall, in addition to providing the notices of default and termination as required by this Lease, provide each Leasehold Mortgagee with written notice that the Lease has been terminated or that Landlord has filed a request with the Bankruptcy Court seeking to reject the Lease, together with a statement of all sums which would at that time be due under this Lease but for such termination or rejection, and of all other defaults, if any, then known to Landlord. Upon any request of the Leasehold Mortgagee, or its designee, Landlord agrees to enter into a new lease ("New Lease") of the Premises with such Leasehold Mortgagee or its designee for the remainder of the term of this Lease, effective as of the date of termination or rejection, as the case may be, at the Rent, and upon the terms, covenants and conditions (including all transfer rights, but excluding requirements which are not applicable or which have already been fulfilled) of this Lease; provided, however, that (i) the Leasehold Mortgagee whose lien upon the Premises is superior to the lien of any other Leasehold Mortgage (the "Senior Leasehold Mortgagee") shall have the right to give notice of its intent to enter into a New Lease to the Landlord for a period of 60 days from its receipt of the notice referred to in the first sentence of this Section 18.2.18 and (ii) if the Senior Leasehold Mortgagee does not exercise its right to enter into the New Lease during this 60-day period; the Leasehold Mortgagee whose lien upon the Premises is superior to the lien of any other Leasehold Mortgage (other than the Senior Leasehold Mortgagee) shall have the right to give notice of its intent to enter into a New Lease to the Landlord during the remainder of the period(s) specified below; and provided further, however,

  • Assignment; Sublease TRANSFER, LIEN Lessee shall not sublicense any part of the Premises, or assign, transfer or encumber in any manner this Lease Agreement or any right, privilege, license or interest conferred hereby. Paramount may assign or otherwise transfer this Lease Agreement or any portion hereof from time to time, and such transfer shall bind and inure to the benefit of its successors and assigns. It is agreed that Paramount is contracting the technical skills and expertise of the management and employees of Lessee and any significant change in ownership or management of Lessee shall require the consent of Paramount as if such change constituted an assignment of this Lease Agreement. Neither this Lease Agreement, nor any right, privilege, license or interest conferred hereby shall be transferable by operation of law, by reason of any bankruptcy, bankruptcy act, insolvency, receivership proceedings, attachment, execution, other judicial process or sale by or against Lessee, whether any of the same be voluntary or involuntary or judicial proceedings. Lessee shall not permit any lien to be imposed upon the Premises or upon any structures or improvements thereon. In the event a lien is imposed, Lessee shall cause it to be discharged promptly. Lessee shall indemnify Paramount for any loss, expense or cost incurred by it in connection with any such lien. Paramount retains the right to create, or permit mortgages, trust deeds, or other encumbrances to be imposed against and upon the Premises, any improvements thereon or interests therein, except against property owned by Lessee, which encumbrances, including principal, interest and costs and expenses in connection therewith, shall be prior to and superior to the interest of Lessee hereunder, and Lessee hereby agrees that this Lease Agreement is subject and subordinate to any such mortgage, trust deed or other encumbrance.

  • Term of Sublease The term (the “Term”) of this Sublease shall commence on the date that Sublessor has received all of the following: (a) a copy of this Sublease Agreement executed by Sublessee and Sublessor; (b) an executed copy of the Lessor’s and Guarantor’s consent to this Sublease; and (c) an executed copy of a Guaranty from Duke University guaranteeing the payment of the Base Rent and Additional Rent (each as defined below) under this Sublease for the time period specified in the Guaranty (the “Commencement Date”), and shall end on the 1st day of September, 2006, (or until such term shall sooner cease or expire as hereinafter provided) (the “Termination Date”). Possession of the Subleased Premises shall be delivered to Sublessee on the Commencement Date. The parties agree that the consent by Lessor and Guarantor shall include (i) a consent to the proposed use by Sublessee of the Subleased Premises as set forth in Section 4 of this Sublease; (ii) a consent to the upfit of the Shell Space at Sublessee’s sole cost and expense, subject to (A) the approval of Lessor of the plans for such upfit; (B) the plans shall provide that the upfit will be performed and Sublessee shall perform the upfit in a good and workmanlike manner using materials that are substantially similar and of better or equal quality to those presently contained in the Subleased Premises; (C) the plans shall provide and Sublessee shall use contractors and engineers that are licensed in North Carolina and are qualified to perform the work to prepare the Subleased Premises for its intended use, each as reasonably acceptable to Lessor; (D) Sublessee shall not commence any such work without first delivering to Lessor a policy or policies of workers’ compensation and commercial general liability insurance naming Lessor as an additional insured; (E) Sublessee and Sublessor warrant that any upfit installed by Sublessee will not violate the permitted use of the Subleased Premises and will materially comply with all applicable building codes and zoning laws and will not impact the structure of the Shell Space; (F) Sublessee shall furnish Lessor with all permits required prior to commencement of the upfit work and all certificates and approvals with respect to the upfit as may be required by any governmental authority and deliver to the Lessor properly executed general and subcontractor affidavits stating that all laborers and materialmen have been paid in full and final waivers of liens and lien releases from all general contractors and subcontractors who have performed the upfit or furnished materials to the Subleased Premises as a result of the upfit; and (G) Sublessee, at its expense, shall deliver within 30 days after completion of the upfit the as built plans for the Shell Space to the Lessor; (iii) a waiver by Lessor of any obligation of Sublessee or Sublessor to restore the Subleased Premises to the condition that existed prior to the Commencement Date or the commencement date of the Lease, respectively; provided, however, that all tenant upfit (including but not limited to Tenant Upfit), case work, the heating, ventilating and air conditioning equipment located on the Subleased Premises, work above the ceiling of the Shell Space installed by Sublessee, and all Lessor Trade Fixtures (as defined below) shall remain on the Subleased Premises at the termination of Sublessee’s occupancy of the Subleased Premises without compensation to Sublessee, unless Lessor requests the removal of same at the time Lessor approves such installations. For purposes of this Sublease, “Lessor Trade Fixtures” means the building management system, flow optometers, manifolds, mirrors, stainless steel tables and stainless steel workbenches located on the Subleased Premises as of the Commencement Date of this Sublease and shall not be deemed to include any enterprise management systems, including without limitation any material resource planning systems or any manufacturing execution systems installed by Sublessee. In addition, on or before November 10, 2000, Lessor shall have delivered to Sublessee an agreement to lease the Subleased Premises directly from Lessor upon the expiration of the term of this Sublease upon terms that are satisfactory to the Sublessee (the “Additional Lease”). If Lessor fails to give such consent and deliver the Additional Lease by December 15, 2000, then Sublessee may cancel this Sublease by giving written notice of cancellation to Sublessor. Neither party shall have liability to the other for any termination or cancellation under this Section 2, unless such party by its willful act caused Lessor to refuse timely to consent to this Sublease.
