New Partners. No person shall be admitted as a Partner of the Partnership except with the consent of all the Partners who shall determine the terms and conditions upon which such admission is to be effective.
New Partners. New Partners temporarily get a higher position on the Bolt Food Platform.
New Partners. Any Person, not then a Partner, to whom a Partnership Interest shall be transferred in accordance with the provisions hereof shall not, notwithstanding such transfer, become a Partner hereunder unless such Person shall, in a written instrument reasonably satisfactory to the Partners, expressly assume and agree to be bound by all of the terms and provisions of this Agreement. All reasonable costs and expenses incurred by the Partnership in connection with any transfer, and, if applicable, the admission of a Person as a Partner hereunder, shall be paid by the transferring Person. If a Partnership Interest is transferred in accordance with the provisions hereof and the transferee refuses to execute an agreement to be bound by all of the terms and provisions of this Agreement, such transferee shall be deemed a mere assignee of profits only without any right, power or authority of a Partner hereunder and shall bear losses in the same manner as its predecessor in interest; the transferor of such interest shall thereafter be considered to have no further rights or interest in the Partnership with respect to the interest transferred, but shall nonetheless be subject to its obligations under this Agreement with respect to such interest. Upon compliance with the provisions hereof, and upon execution and delivery of the aforesaid written instrument by the transferee, the transferee shall be admitted to the Partnership as a Partner, the transferor shall withdraw from the Partnership to the extent of its transferred Partnership Interest, and, subject to Section 8.2, the transferor shall be relieved of any further liabilities or obligations as a Partner to the extent of its transferred Partnership Interest from and after the effective date of such transfer, but shall continue to be liable for any matters arising prior to the effective date of such transfer.
New Partners. (Check one) ☐ ☐ ☐ The Partnership, upon the (Check one) unanimous consent majority consent of all Partners, may admit new Partners to the Partnership on the terms and conditions as determined by the Partners at such time. ☐ The Partnership will NOT admit new Partners.
New Partners. An assignee of a Partner's interest in the Partnership pursuant to a transfer permitted under the provisions of this Article 6 may become a substituted Partner with all the rights and liabilities of its assignor as a Partner under this Agreement if and only if (i) the General Partner or each Limited Partner (in the case of a General Partner's transferee) shall have consented in writing to such assignee becoming a substituted Partner, (ii) the assignee expressly assumes and agrees to be bound by this Agreement in the place and stead of such assignor, and (iii) the appropriate instruments, documents, or statements, if any, are prepared executed, acknowledged, filed, recorded, published and delivered.
New Partners. The Project intends to welcome new Partners. The admission of any new Partner is subject to the formal approval by the CB.
New Partners. No person shall be admitted as a Partner except with the unanimous consent in writing of the Partners.
New Partners. The Partnership will amend this agreement to include new partners upon the written and unanimous vote of all Partners. The name of the Partnership may be amended if a new Partner is added to the Partnership upon the written and unanimous vote of all Partners.
New Partners. Subject to the terms of Section 12, the Partnership, with the consent of the General Partner and JVP, may issue additional Interests and thereby admit a new Limited Partner or Limited Partners, as the case may be, to the Partnership only if such new Partner (i) has delivered to the Partnership its Capital Contribution, has agreed in writing to be bound by the terms of this Agreement by becoming a party hereto, and (ii) has delivered such additional documentation as the General Partner and JVP shall reasonably require to so admit such new Partner to the Partnership. Notwithstanding anything in this Section 5.7 to the contrary, if any additional Interest is to be issued or a new Limited Partner is to be admitted pursuant to a Transfer of Interests, the terms of Section 12 shall supersede the provisions of this Section 5.7.
New Partners. No Person shall be admitted as a Partner of the Partnership without the prior written consent of the General Partner, which the General Partner may withhold in its absolute discretion.
