New Jurisdictions. This Agreement contemplates Emergent’s provision of services with respect to the jurisdictions in which the Products are currently approved for commercial sale as of the Effective Time. If Aptevo intends to distribute Products in additional jurisdictions in which it did not distribute such Product as of the Effective Time, and if Aptevo desires for Emergent to Manufacture or otherwise provide services related to such Product for such additional jurisdiction under this Agreement, the Parties will negotiate in good faith to amend this Agreement to integrate such additional jurisdictions as appropriate. Such amendments may contemplate changes in price as well as changes to such Product’s Specifications, as applicable. Any such changes shall be agreed by both Parties in writing before becoming effective. Aptevo will not otherwise have any right to make or have made such Product, or perform or have performed services related to such Product for any such additional jurisdiction.

New Jurisdictions. No Credit Party shall (i) conduct business or obtain any Gaming Approval in any New Jurisdiction or (ii) obtain any Gaming Approval in its own name in any Closing Date Regulated Jurisdiction, in each case without obtaining the prior written consent of Lender (such approval not to be unreasonably withheld; provided that Lender may withhold consent in its sole discretion if Lender or any of its Affiliates would be required to take any actions in connection with a Lender License in such New Jurisdiction). If a Credit Party seeks to conduct any such business or obtain any such Gaming Approval such Credit Party shall undergo a regulatory review with respect to such New Jurisdiction with internal or external legal counsel and such review shall demonstrate to Lender’s reasonable satisfaction that the conduct of business in such New Jurisdiction will not have an adverse impact on Lender and/or require Lender or its Affiliates to take any actions in connection with a Lender License in such New Jurisdiction.

New Jurisdictions. During the performance of the Work, additional jurisdictions may become Participating jurisdictions with active programs supported by these Help Desk services. It is the responsibility of the Contractor to update the Help Desk materials and procedures to accommodate the addition of new jurisdictions. Bidders must specify all materials that the Bidder anticipates will be provided by WCI, Inc. or Participating Jurisdictions to the Contractor as part of this task. Task 5 Deliverables. The following deliverables shall be provided under Task 5.

  • Venue; Jurisdiction (a) Any action or proceeding brought by either party seeking to enforce any provision of, or based on any right arising out of, this Agreement must be brought against any of the parties in the courts of the State of New York. Each party (i) hereby irrevocably submits to the jurisdiction of the state courts of the State of New York and to the jurisdiction of any United States District Court in the State of New York, for the purpose of any suit, action, or other proceeding arising out of or based upon this Agreement or the subject matter hereof brought by any party or its successors or assigns, (ii) hereby waives, and agrees not to assert, by way of motion, as a defense, or otherwise, in any such suit, action, or proceeding, any claim that it is not subject personally to the jurisdiction of the above-named courts, that its property is exempt or immune from attachment or execution, that the suit, action or proceeding is brought in an inconvenient forum, that the venue of the suit, action, or proceeding is improper or that this Agreement or the subject matter hereof may not be enforced in or by such court, and (iii) hereby waives and agrees not to seek any review by any court of any other jurisdiction that may be called upon to grant an enforcement of the judgment of any such New York state or federal court.

  • Governing Law; Venue; Jurisdiction This Agreement shall be construed and enforced in accordance with and governed by the laws of the State of New York, without reference to principles of conflicts or choice of law thereof. Each of the parties consents to the jurisdiction of the U.S. District Court in the Southern District of New York in connection with any dispute arising under this Agreement and hereby waives, to the maximum extent permitted by law, any objection, including any objection based on forum non conveniens. to the bringing of any such proceeding in such jurisdictions. Each party to this Agreement irrevocably consents to the service of process in any such proceeding by the mailing of copies thereof by registered or certified mail, postage prepaid, to such party at it address set forth herein. Nothing herein shall affect the right of any party to serve process in any other manner permitted by law. Each party waives its right to a trial by jury.

  • Applicable Law, Venue and Jurisdiction Borrower agrees that this Note shall be deemed to have been made in the State of Texas at Lender's address indicated at the beginning of this Note and shall be governed by, and construed in accordance with, the laws of the State of Texas and is performable in the City and County of Texas indicated at the beginning of this Note.
