New Customers. The Parties agree that any offer by any of the Parties hereto to provide Competitive Services to New Customers in any state or territory of the United States shall be first made on behalf of the Partnership Entities and shall include an offer to provide such Competitive Services under an agreement substantially in the form of the Form Compression Services Agreement. If the New Customer is unwilling to enter into an agreement with a Partnership Entity that is substantively similar to the Form Compression Services Agreement from a federal income tax treatment perspective (from the Partnership’s perspective), an Exterran Entity may enter into an agreement to provide Competitive Services to such New Customer for its own account provided that any agreement between such Exterran Entity and such New Customer is not substantively similar to the Form Compression Services Agreement from a federal income tax treatment perspective (from the Partnership’s perspective). If a New Customer enters into an agreement with a member of the Partnership Group for Competitive Services, then such New Customer will then constitute a Partnership Customer for the purposes of this Agreement and if, in accordance with this Section 2.6, a New Customer enters into an agreement with an Exterran Entity for Competitive Services, then such New Customer will then constitute an Exterran Customer for the purposes of this Agreement.
New Customers. For a new (first-time customer) annual Agreement, full payment is due prior to receipt of Clipper® SmartPass cards, unless a payment schedule has otherwise been agreed upon in writing between the Institution and VTA. Payment will include the calculated rate for annual SmartPasses, plus the Clipper® fee per card order for a specified quantity of Clipper® cards, as discussed further in Section 6 below. Any proration based on Agreement effective dates will be applied on a monthly basis.
New Customers. 2.1 New Customers are customers that become customers of the LDC after the date of the initial opt-‐out notice, for example because they moved into the town.
New Customers. The Customer will be charged for electricity services from the day and time that the electricity is connected to the supply address. If a final meter reading was not carried out on the final day of the previous Customer at the supply address, an estimate of the new Customer’s consumption, in accordance with Clause 8.4, will be used to calculate the first bill.
New Customers. ATMI and IM shall jointly define, develop and maintain the Product Sales & Marketing Plan for the sale of Products and the licensing of Alliance Technology, excluding HPC Technology and Materials Manufacturing Technology, to each new [*] customer, on a case by case basis. The parties understand and acknowledge that careful and timely development and execution of such a Plan for new customers is critical to the commercial success of both parties under this CDP.
New Customers. New customers must come to the CITY requesting solid waste collection and disposal. However it is the responsibility of the customer to contact WCA directly for the setup of residential trash and recycling services.
New Customers. Until such time as the Distribution Agreement is terminated or is amended to permit Spansion to sell Products directly, as the case may be, any new Product customers may be engaged directly by Spansion on AMD’s behalf with AMD’s prior consent. AMD agrees to consent to all such engagements by Spansion except that any new Product sales agreements with new Product customers must be approved by AMD on a case by case basis and executed by a duly-authorized representative of AMD. AMD agrees to assign any such agreements to Spansion that are freely assignable by AMD and to request the consent of the customer to assign such agreements to Spansion where consent by the customer for assignment is required, upon amendment or termination of the Distribution Agreement, as the case may be.
New Customers a) We grant you the non-exclusive, non-assignable, right, during the term of this Affiliate Agreement, to direct New Customers to such STS Websites as we have agreed with you in strict accordance with the terms and conditions of the Affiliate Agreement.
New Customers. A credit application must be completed and approved before open credit will be granted to new customers.
New Customers. Any Customer added after the execution of this Agreement except City Customers and Township Customers and Customers located within the geographic boundaries of the City and/or the Townships.
