If either party serves written notice of a Dispute upon the other party (a “Dispute Notice”), the parties will first attempt to resolve such Dispute by direct discussions and negotiation. If the parties to the Dispute agree, the parties may also attempt to resolve the Dispute by a mediation administered by the American Arbitration Association under its Commercial Mediation Procedures.
