Nature of the Services. In accordance with the terms and conditions of this Agreement, the Independent Contractor shall, to the extent requested from time to time by the Corporation, perform consulting Services for the benefit of the Corporation with respect to all matters relating to or affecting all items contained in Schedule A attached hereto. The Independent Contractor shall perform such additional Services as may be agreed to by both parties from time to time in writing which, when so agreed, shall be deemed incorporated into this Agreement. The Independent Contractor shall perform Services at the direction of the President and Chief Executive Officer of the Corporation (or another executive officer of the Corporation as may be designated from time to time by the Board of Directors of the Corporation). As a part of the Independent Contractor's consulting Services, the Independent Contractor shall review, analyze, and make suggestions to the Corporation on all matters included in Schedule A attached hereto. The Independent Contractor agrees and stipulates that this Agreement is a personal service contract under which Services shall be performed by particular agents and employees of the Independent Contractor who are subject to the approval of the Corporation from time to time. The Corporation initially approves Xxxxxxx X. Xxxxxxxx, Xxxxxxx X. Xxxxxxxxx, Xxxxx Xxxxxx, Xxxxxx X. Xxxxxxxx, and Xxxxx X. Xxxxxxxx, together with support staff directly reporting to and under the personal supervision of such individuals as required for such Services, as individuals to perform Services hereunder. The Independent Contractor shall furnish the Corporation with a properly completed Request for Taxpayer Identification Number and Certification on Form W-9, upon receipt of said Form W-9 from the Corporation.

Nature of the Services. Instructor acknowledges that as a result of the physical nature of Zumba classes or events, such classes or events may not be safe or appropriate for everyone. Instructor further acknowledges that any information Zumba may provide to Instructor through an Instructor Licensing Program session, in Zumba materials, on Zumba’s website(s) or otherwise regarding health and fitness is intended solely as a general educational aid and is not a substitute for medical or healthcare advice. Instructor further acknowledges that Instructor has been encouraged to seek the advice of a physician or other qualified healthcare professional before providing the Services or if Instructor experiences any medical condition that may affect Instructor’s ability to provide the Services. Instructor further acknowledges that he/she has been advised by Xxxxx to ensure that Instructor complies with all applicable laws, regulations and ordinances governing the instruction of children in the country, state and locality where Instructor will be conducting his/her Zumba classes. Zumba and its affiliates, subsidiaries, related companies, employees, directors, officers, agents, vendors or suppliers assume no responsibility for any consequence relating directly or indirectly from any action or inaction of Instructor based on the information, services, or other material provided by Zumba. (“EdMod”) is the developer of a proprietary software product, including related hosting, support and other services, designed to enable educators to track, communicate, and share disability-specific information for education purposes (collectively, the “Services”).
