Nature of Covenants. The covenants and agreements herein contained shall constitute covenants running with the land and interests covered or affected hereby and shall be binding upon the heirs, legal representatives, successors and assigns of the parties hereto.

Nature of Covenants. Employee’s covenants in Section 6 are independent covenants, and the existence of any claim by Employee against the Company under this Agreement or otherwise will not excuse Employee’s breach of, or waive Employee’s obligation to perform, any covenant in this Section 6. If Employee’s employment hereunder terminates for any reason, or the Employment Term expires, this Section 6, and the other terms and conditions of this Agreement necessary or appropriate to enforce the covenants of Employee in Section 6, shall survive and remain in full force and effect.

Nature of Covenants. The Companies and the Member acknowledge that to protect adequately the interests of the Purchasers in the goodwill and other assets of the Companies it is essential that the Companies and the Member agree to the covenants set forth in Section 5.10.
