Nature and Quality of Services. The quality of the Administrative Services shall be substantially identical to those provided to subsidiaries and Affiliates of Vxxxxx XX.

The Service Provider warrants that the Services performed shall be performed in accordance with Section 4.14 of this Agreement and, except as otherwise specifically provided by written agreement of the Parties, in the same or similar manner as such Services were performed by RemainCo and its Subsidiaries (including, for purposes of this Section 2.1(b), members of the SpinCo Group) prior to the Distribution Date and at the same general level and with the same general degree of care, attention, accuracy and responsiveness as when performed by the Service Provider for itself, another member of the Service Provider Group or third parties.

The Service Provider warrants that the quality of the Services performed shall be at the same general level as those provided by NOV to other Affiliates of NOV, and, where applicable, substantially consistent with the quantity and scope of the Services provided to SpinCo by NOV prior to the Distribution Date. If any of such Services were not performed within NOV prior to the Distribution Date, then such Services shall be performed with the same degree of care and with substantially the same service levels as the Service Provider performs comparable services for itself.

The quality of the Services provided by one Party to the other shall be substantially similar to those provided to each Party’s own group and, where applicable, substantially consistent with the quality and scope of the Services provided prior to the Effective Date. If either Party identifies any commercial or other service that is needed by it to assure a smooth and orderly transition of the businesses in connection with the consummation of the transactions contemplated by the Separation Agreement, and that is not otherwise governed by the provisions of the Separation Agreement or any other agreement among the Parties, the Parties will cooperate in good faith in determining whether there is a mutually acceptable basis on which the other Party will provide such service and shall document such basis in a Statement of Work (a “SOW”). Any such additional services that the Parties may provide are herein referred to as “Additional Services”. Any such Additional Services so provided by SunEdison shall constitute Services under this Agreement and be subject in all respects to the provisions of this Agreement as if fully set forth in an Annex as of the date hereof and shall be based on the terms included in the applicable Annex if not otherwise agreed in a SOW.
Nature and Quality of Services. Licensee shall use the Marks only in connection with the Licensed Services. Licensee shall be responsible for all costs associated with marketing, offering, sale, and rendering the Licensed Services and agrees that all Licensed Services offered under one or more of the Marks shall be of a quality that is equal to or greater than that of the services that Licensor has historically provided under Marks.
