Nature and Capacity of Employment. The Corporation hereby agrees to employ Employee as its Chief Technical Officer, subject to the direction of the President/Chief Executive Officer and the Board of Directors of the Corporation and pursuant to the terms and conditions set forth in this Agreement. Employee hereby accepts employment under the terms and conditions set forth in this Agreement. Employee agrees to perform or be available to perform, on a full-time basis, the functions of this position, pursuant to the terms of this Agreement. In addition, Employee will not, during the course of employment by the Corporation, without prior written approval of the Board of Directors of the Corporation, become an employee, director, officer, agent, partner of or consultant to, or a stockholder of (except a stockholder of a public company in which Employee owns less than five percent (5%) of the issued and outstanding capital stock of such company) any company or other business entity which is, as determined by the Board of Directors in its discretion, a significant competitor, supplier, or customer of the Corporation.
Nature and Capacity of Employment. The Corporation hereby agrees to continue to employ the Employee as its Chief Executive Officer, pursuant to the terms of this Agreement, and shall have all the duties, power, status and authority of a Chief Executive Officer. The Employee agrees to perform, or be available to perform, on a full-time basis, the functions of this position, pursuant to the terms of this Agreement. The Employee shall continue to report to the Corporation's Board of Directors and to be nominated for election as a director of the Corporation.
Nature and Capacity of Employment. The Corporation hereby agrees to employ Employee as Chief Operating Officer, pursuant to the terms of this Agreement. Employee agrees to perform, on a full time basis, the functions of this position, pursuant to the terms of this Agreement. The employee will report to the Corporation’s Chief Executive Officer.
Nature and Capacity of Employment. Employer agrees to employ Employee as Chief Executive Officer of Employer under the terms of this Agreement. Employee agrees to perform, or be available to perform, on a full-time basis, the functions of this position, under the terms of this Agreement.
Nature and Capacity of Employment. The Company hereby agrees to employ Employee pursuant to the terms of this Agreement. Employee agrees to perform, or to hold himself available to perform, on a full-time basis, any reasonable functions prescribed by his superior or the Executive Committee of the Board of Directors.
Nature and Capacity of Employment. Effective as of the Effective Date, the Corporation hereby agrees to continue to employ the Employee as its Chief Financial Officer, subject to the direction of the Board of Directors of the Corporation and pursuant to the terms and conditions set forth in this Amended Agreement. The Employee hereby agrees to continue acting in that capacity under the terms and conditions set forth in this Amended Agreement. The Employee agrees to perform or be available to perform the functions of this position, pursuant to the terms of this Amended Agreement.
Nature and Capacity of Employment. Effective August 16, 2016 (the “Effective Date”), the Corporation hereby employs Executive and Executive hereby accepts employment as the full-time Chief Executive Officer and President of the Corporation. Executive will report to the Corporation’s Board of Directors.
Nature and Capacity of Employment. Effective as of the Effective Date, the Corporation hereby agrees to employ the Employee as its Chief Executive Officer, having such duties as are consistent with those of a Chief Executive Officer for similar businesses, and such duties as requested by the Corporation in connection with the business, affairs and operations of the Corporation, subject to the direction of the Board of Directors of the Corporation and pursuant to the terms and conditions set forth in this Agreement. The Employee hereby agrees to act in that capacity under the terms and conditions set forth in this Agreement. The Employee agrees to perform or be available to perform the functions of this position, pursuant to the terms of this Agreement.
Nature and Capacity of Employment. The Corporation will employ Employee as Interim Chief Executive Officer and President.
Nature and Capacity of Employment. The Company hereby agrees to employ Executive as President of the Company subject and pursuant to the terms of this Agreement. Executive agrees to perform, and be available to perform, the functions and duties customarily associated with or incident to such position, and such other functions and duties as may from time to time be reasonably required by the Company consistent with such position. Executive shall report to each of Xxxxx XxXxxxxx, Xxxxxx X. Xxxxxxx, Xx. and Xxxxx Campus.
