Common use of Nasdaq National Market Clause in Contracts

Nasdaq National Market. PEC shall use its reasonable best efforts to list on the Nasdaq National Market, upon official notice of issuance, the shares of PEC Common Stock to be issued in connection with the Asset Purchase and pursuant to the PEC Warrant.

Nasdaq National Market. PEC shall use its reasonable best efforts to list on the Nasdaq National Market, upon official notice of issuance, the shares of PEC Surviving Corporation Common Stock to be issued in connection with the Asset Purchase Merger and pursuant to the PEC WarrantSubstituted Options and UTI Stock Plans (as defined in Section 5.7) and Substituted Warrants (as defined in SECTION 5.8).

PEC shall use its reasonable best efforts to list on the Nasdaq National Market, upon official notice of issuance, any PEC Shares issued as a part of the shares of PEC Common Stock to be issued in connection with the Asset Purchase and pursuant to the PEC WarrantMerger Consideration.
