Common use of Named Fiduciary Clause in Contracts

Named Fiduciary. The Corporation is hereby designated the “Named Fiduciary” as such term is defined in the Employee Retirement Income Security Act of 1974, as amended (“ERISA”). As Named Fiduciary, the Corporation shall be responsible for the management and administration of the terms of this Agreement. The Corporation’s Board of Directors may delegate to others the management and operating responsibilities of the plan including the employment of advisors and may exercise any other powers necessary for the discharge of its duties to the extent not in conflict with the provisions of ERISA.
