NACHA Operating Rules and Guidelines. The National Automated Clearing House Association produces an annual publication, NACHA Operating Rules & Guidelines, available in printed book format as well as CD-ROM electronic media format, which serves as the definitive source of information governing the exchange and settlement of electronic fund transfers through the Automated Clearing House (ACH) Network. The NACHA Operating Rules provides the legal framework for the ACH Network, while the NACHA Operating Guidelines provides guidance on implementing the NACHA Operating Rules. In the case of any inconsistency or conflict between the NACHA Operating Rules and the NACHA Operating Guidelines, the NACHA Operating Rules govern. AB&T and Customer agree to be fully bound by and comply with the NACHA Operating Rules & Guidelines, which may be amended from time to time. Any fines or liabilities imposed against AB&T for a violation of the NACHA Operating Rules and Guidelines caused by action and/or inaction of Customer shall be reimbursed to AB&T by Customer. Costs associated with Rules publications and/or association membership will be the responsibility of Customer. If Customer utilizes a third-party vendor or processor in support of its ACH Origination activities through Business Digital Banking, Customer will take such measures as may be necessary to ensure compliance with the NACHA Operating Rules and Guidelines by such vendors and processors. AB&T reserves the right to suspend or terminate AB&T’s services to Customer as an ACH Originator or any Customer agent acting as a Third-Party Sender for breach of the prevailing NACHA Operating Rules and Guidelines upon AB&T providing no more than ten (10) Business Days’ advance Notice to Customer concerning Customer or Third-Party Sender’s breach of the NACHA Operating Rules and Guidelines.

NACHA Operating Rules and Guidelines. (the Rules) The Bank shall provide the Business Entity with a copy of the Rules upon execution of the Agreement. The Business Entity agrees to comply with and be bound by the Rules. In the event the Business Entity violates any of the applicable Rules and NACHA imposes a fine on the Bank because of the Business Entity’s violation, the Bank may charge the fine to the Business Entity. The Bank agrees to inform the Business Entity of revisions to the Rules within a commercially reasonable time after Bank gains knowledge of such revision. The Bank shall also supply the Business Entity with an updated copy of the Rules at least annually at Business Entity’s expense.
NACHA Operating Rules and Guidelines. The Company agrees to comply with and be bound by the operating rules of NACHA (as amended from time to time, the “Rules”). A copy of the current Rules will be available at Xxxxx Bank & Trust and may be reviewed by the Company upon their request at any time. At the Company’s expense, they may request to purchase a copy of the Rules from Xxxxx Bank & Trust. Xxxxx Bank & Trust agrees to inform the Company of revisions to the Rules of which Xxxxx Bank & Trust has knowledge. If Company violates any of the applicable Rules and NACHA imposes a fine on Xxxxx Bank & Trust because of the Company's violation, Xxxxx Bank & Trust may charge the fine to Company.

  • General Guidelines 1. Conduct yourself in a responsible manner at all times in the laboratory.

  • Operating Rules 6.1 Merchant must comply with the Operating Rules, as the same may be amended from time to time. The Operating Rules may change with little or no advance notice to Merchant and Merchant will be bound by all such changes. If Merchant objects to any change in the Operating Rules, it must immediately stop accepting new Transactions for Cards governed by the change. The Operating Rules will govern in the event that there is any inconsistency between the Merchant Agreement and the Operating Rules. However, nothing in the Merchant Agreement shall be construed to impose on Merchant a requirement (including a requirement under the Operating Rules) which is prohibited by mandatory provisions of applicable law (i.e., where the applicability of such provisions of law to the Merchant Agreement, and of the law’s prohibition to the particular requirement which otherwise would be imposed on Merchant hereunder, cannot lawfully be waived by agreement), but the requirement hereunder shall be construed to continue in effect and to be imposed on Merchant in all respects and at all times to the fullest extent possible without violating the law’s prohibition, with only those particular applications of the requirement which would violate the law’s prohibition deemed severed from the provisions hereof.

  • Policies, Guidelines, Directives and Standards Either the LHIN or the MOHLTC will give the HSP Notice of any amendments to the manuals, guidelines or policies identified in Schedule C. An amendment will be effective in accordance with the terms of the amendment. By signing a copy of this Agreement the HSP acknowledges that it has a copy of the documents identified in Schedule C.

  • Practice Guidelines 37.1. CONTRACTOR shall adopt practice guidelines (or adopt COUNTY’S practice guidelines) that meet the following requirements:

  • Hot Weather Guidelines For the purposes of site based discussions regarding the need to plan and perform work during expected periods of hot weather, the following issues shall be considered in conjunction with proper consideration of Occupational Health and Safety issues.

  • Applicable Rules and Regulations The Account and each transaction therein shall be subject to the terms of this Agreement and to (a) all applicable laws and the regulations, rules and orders (collectively "regulations") of all regulatory and self-regulatory organizations having jurisdiction and (b) the constitution, by-laws, rules, regulations, orders, resolutions, interpretations and customs and usages (collectively "rules") of the market and any associated clearing organization (each an "exchange") on or subject to the rules of which such transaction is executed and/or cleared. The reference in the preceding sentence to exchange rules is solely for DWR's protection and DWR's failure to comply therewith shall not constitute a breach of this Agreement or relieve Customer of any obligation or responsibility under this Agreement. DWR shall not be liable to Customer as a result of any action by DWR, its officers, directors, employees or agents to comply with any rule or regulation.

  • Additional Rules and Regulations A. Sitting on the front stoop, or in the parking lot, playing of music, TV’s, or loud noise of any kind inside or outside of unit loud enough to disturb other tenants shall not be permitted at any time.

  • Use Guidelines 3.3.1. The JAGGAER Applications are provided to Client for use only as expressly set forth in the Agreement, and Client will not use the JAGGAER Applications in whole or in part for any other use or purpose. In particular, Client will not, and will not allow any third party to: (i) decompile, disassemble, reverse engineer or attempt to reconstruct, identify or discover any source code, underlying ideas, underlying user interface techniques or algorithms of the JAGGAER Applications by any means, or disclose any of the foregoing; (ii) except as expressly set forth in the Agreement, provide, rent, lease, lend, or use the JAGGAER Applications for timesharing, subscription, or service bureau purposes; (iii) sublicense, transfer or assign the JAGGAER Applications or any of the rights or licenses granted under the Agreement; or remove or obscure any trademark, product identification, proprietary marking, copyright or other notices provided with the JAGGAER Applications or related documentation.

  • Laws, Rules and Regulations You agree to comply with all existing and future operating procedures used by the Bank for processing of transactions. You further agree to comply with, and be bound by, all applicable state or federal laws, rules, regulations, orders, guidelines, operating circulars and pronouncements, affecting checks and drafts, including, but not limited to, all rules and procedural guidelines established by the Board of Governors of the Federal Reserve and the Electronic Check Clearing House Organization ("ECCHO") and any other clearinghouse or other organization in which Bank is a member or to which rules Bank has agreed to be bound. These procedures, rules, and regulations (collectively the "Rules") and laws are incorporated herein by reference. In the event of conflict between the terms of this Agreement and the Rules, the Rules will control.

  • Design Guidelines The Owner’s “Design Guidelines” are as published on the Owner’s website (xxxx://xxxxx.xxxxx.xxx/for-vendors/design-guidelines/). In addition to providing a guide to be used in the preparation of design documents for the Owner’s construction projects, the Design Guidelines also contain regulatory code compliance and other Owner requirements. The “Effective Date” (as noted in Section 2.7 of the Design Guidelines), determining which edition will be used for a given project, is set at the beginning of Design Development and will govern the preparation of construction documents for the project unless noted otherwise. Compliance with the Design Guidelines does not relieve the Design Professional from any of its responsibility.
