Common use of Mutual Warranties Clause in Contracts

Mutual Warranties. Each Party represents and warrants to the other that: (a) it has the corporate power and authority and the legal right to enter into this Agreement and to perform its obligations hereunder; and (b) the execution and delivery of this Agreement and the performance of its obligations hereunder do not conflict with or constitute a default under any of its contractual obligations; and (c) with respect to its Component Products and Reference Materials, to its current knowledge it has not knowingly violated any Intellectual Property Rights of any third party.

Mutual Warranties. Each Party represents and party warrants to the other that: that (ai) it has the full corporate right, power and authority and the legal right to enter into this Agreement and to perform its obligations hereunder; the acts required of it hereunder and (bii) the execution and delivery of this Agreement and the performance of its obligations and duties hereunder do not conflict with or constitute a default under and will not violate any of its contractual obligations; and (c) with respect to its Component Products and Reference Materials, to its current knowledge agreement by which it has not knowingly violated any Intellectual Property Rights of any third partyis bound.

Mutual Warranties. Each Party party represents and warrants to the other that: that (ai) it has the corporate legal power and authority and the legal right to enter into and perform under this Agreement Agreement; (ii) it has obtained and to perform will maintain any and all consents, approvals, licenses or other authorizations necessary for the performance of its obligations hereunder; and (biii) it will comply with all applicable laws and regulations in its performance hereunder. Neither party shall make any representations or warranties on the execution and delivery of this Agreement and other's behalf without the performance of its obligations hereunder do not conflict with or constitute a default under any of its contractual obligations; and (c) with respect to its Component Products and Reference Materials, to its current knowledge it has not knowingly violated any Intellectual Property Rights of any third partyother's prior written consent.

Mutual Warranties. Mutual Warranties. Mutual Warranties. Each Party hereto represents and warrants to the other that: that (ai) it has the corporate full right and power and authority and the legal right to enter into and fully perform this Agreement and to perform in accordance with its obligations hereunderterms; and (bii) the execution execution, delivery, and delivery performance of this Agreement and will not violate any rights granted by such Party to any third party or violate the performance of its obligations hereunder do not conflict with or constitute a default under any of its contractual obligations; and (c) with respect to its Component Products and Reference Materials, to its current knowledge it has not knowingly violated any Intellectual Property Rights provisions of any third partyagreement to which it is a party or violate any applicable law or regulation, including those regarding export control.

Mutual Warranties. Each Party represents and warrants to the other that: that (a) it has the corporate full power and authority and the legal right to enter into this Agreement and to perform its obligations hereunderand to grant any license(s) contained herein; and (b) the execution and delivery of this Agreement and the performance of its obligations hereunder do not conflict with or constitute a default under any of its contractual obligations; and (c) with respect to its Component Products and Reference Materials, to its current knowledge it has not knowingly violated entered into, and shall not enter into any Intellectual Property Rights of any third partyagreement either written or oral in conflict with its obligations under this Agreement.

Mutual Warranties. Mutual Warranties. Mutual Warranties. Each Party party represents and warrants to the other that: (ai) it has the corporate power and authority and the legal right to enter does not have any contractual obligations that would prevent it from entering into this Agreement and to perform its obligations hereunderAgreement; and (bii) the execution it will comply with all laws and delivery of this Agreement and the regulations directly applicable to its performance of its obligations hereunder do not conflict with under this Agreement or constitute a default under any its use of its contractual obligations; and (c) with respect to its Component Products and Reference Materials, to its current knowledge it has not knowingly violated any Intellectual Property Rights of any third partythe Services.

Mutual Warranties. Each Party party represents and warrants to the other that: party that (a) it has the corporate power experience and authority and the legal right skill to enter into and fully perform this Agreement and to perform its obligations grant the rights granted hereunder; and (b) the execution it shall comply with all applicable federal, state and delivery of this Agreement and the performance of its obligations hereunder do not conflict with or constitute a default under any of its contractual obligationslocal laws, and; and (c) with respect to its Component Products and Reference Materialsthere is no outstanding commitment, to its current knowledge it has not knowingly violated any Intellectual Property Rights agreement or legal impediment of any third partykind known to such party which conflicts with this Agreement or might limit, restrict or impair the obligations of such party hereunder.

Mutual Warranties. Mutual Warranties. Each Party warrants and represents and warrants to the other that: (a) that it has the corporate power authority to execute, deliver and authority and the legal right to enter into this Agreement and to perform its obligations hereunder; under this Agreement, having obtained all required Board of Directors' or other consents, and (b) is duly organized or formed and validly existing and in good standing under the execution and delivery laws of the state of its incorporation or formation. Each party further warrants that it will comply with all applicable laws in connection with the operation of this Agreement and the performance of its obligations hereunder do not conflict with or constitute a default under any of its contractual obligations; and (c) with respect to its Component Products and Reference Materials, to its current knowledge it has not knowingly violated any Intellectual Property Rights of any third partyAgreement.

Mutual Warranties. Mutual Warranties. Each Party Without limiting any other representation, warranty under this Agreement, each party hereby represents and warrants to the other party that: (ai) it has the corporate full power and authority and the legal right to enter into this Agreement; (ii) this Agreement is a valid and binding obligation of such party; and (iii) it has obtained and shall maintain throughout the Term of this Agreement all necessary licenses, authorizations, approvals and consents to enter into, exercise its rights and perform its obligations hereunder; hereunder in compliance with all applicable laws, rules and (b) the execution and delivery of this Agreement and the performance of its obligations hereunder do not conflict with or constitute a default under any of its contractual obligations; and (c) with respect to its Component Products and Reference Materials, to its current knowledge it has not knowingly violated any Intellectual Property Rights of any third partyregulations.

Mutual Warranties. Each Party party represents and warrants to the other that: (ai) it is a duly organized entity, validly existing and in good standing under the laws of the state of its formation; (ii) it has the corporate requisite power and authority to execute and the legal right to enter into deliver this Agreement and to fully perform its obligations hereunder; and (biii) the execution it is not subject to any contractual or other legal obligation that would reasonably be expected to interfere in any way with its full performance hereof; (iv) it is and delivery of this Agreement and the performance of its obligations hereunder do not conflict will continue to be in compliance with or constitute a default under any of its contractual obligations; and (c) with respect to its Component Products and Reference Materials, to its current knowledge it has not knowingly violated any Intellectual Property Rights of any third partyApplicable Privacy Laws.

Each Party warrants that in the performance of its obligations hereunder do not conflict this Agreement, it shall comply with or constitute a default under any of its contractual obligations; all laws, statutes, ordinances, rules, directives, regulations and orders applicable to it, including all applicable data privacy and protection laws, and export control laws (c) with respect to its Component Products and Reference Materialscollectively, to its current knowledge it has not knowingly violated any Intellectual Property Rights of any third party“Laws”).

Each Party represents and warrants to the other that: (a) it is a duly organized and validly existing company; (b) it has the corporate full right, power and authority and the legal right to enter into and perform its obligations under this Agreement; (c) the person signing this Agreement on behalf of such Party has the full right, power and authority to sign this Agreement and to perform bind such Party to its respective obligations hereunderunder this Agreement; and (bd) that the execution execution, delivery and delivery performance of this Agreement and the performance of its obligations hereunder do does not conflict with or constitute a default under any of its contractual obligations; and (c) with respect other agreement to its Component Products and Reference Materials, to its current knowledge it has not knowingly violated any Intellectual Property Rights of any third partywhich such Party is bound.

Each Party party represents and warrants to the other that: that (ai) it has the corporate legal power and authority and the legal right to enter into this Agreement and to perform its obligations hereunder; Agreement, and (bii) that the execution and delivery of this Agreement agreement and the performance use of its obligations hereunder do the Software and Purchased Services will not conflict with or constitute a default under any of its contractual obligations; and (c) with respect to its Component Products and Reference Materials, to its current knowledge it has not knowingly violated any Intellectual Property Rights violate the terms of any agreement with a third party.

Each Party represents and warrants to the other that: that (a) it has obtained all authorization(s) and Consents necessary to fully perform this Agreement, (b) it has the corporate power and authority and the legal right to enter into execute this Agreement and to perform act in accordance with its obligations hereunder; terms, and (bc) the execution and delivery performance of this Agreement and the performance of are within its obligations hereunder respective corporate powers, have been duly authorized by all necessary corporate action, do not conflict require any consent of or filing with or constitute a default under any of its contractual obligations; and (c) with respect to its Component Products and Reference Materials, to its current knowledge it has not knowingly violated any Intellectual Property Rights of any third partyparty or governmental body or agency, and do not violate any applicable law, agreement, judgment, order, or the like or its charter or by-laws.

Mutual Warranties. Each Party represents and warrants to the other that: that (ai) it has the corporate full right, power and authority and the legal right to enter into this Agreement and to perform its obligations hereunder; (ii) its execution, delivery and (b) the execution and delivery performance of this Agreement and the performance of its obligations hereunder do will not conflict with or constitute result in a default under any of its contractual obligations; and (c) with respect to its Component Products and Reference Materials, to its current knowledge it has not knowingly violated any Intellectual Property Rights breach or other violation of any agreement or other third party.party obligation by which it is bound;

Mutual Warranties. Each Party represents and warrants to the other that: that (a) it has the corporate power obtained all necessary approvals and authority and the legal right to enter into this Agreement and to perform its obligations hereunderthe Agreement; and (b) the execution and delivery of this Agreement and the performance of its obligations hereunder do the Agreement will not violate or conflict with any contracts or constitute a default under any of its contractual obligations; and (c) other obligations such Party has with respect or in relation to its Component Products and Reference Materials, to its current knowledge it has not knowingly violated any Intellectual Property Rights of any third party.

Mutual Warranties. Each Party party represents and warrants to the other that: that (a) it has will comply with all applicable laws, orders, codes and regulations, including all privacy laws and U.S. sanctions laws, in its performance under the corporate power and authority and the legal right to enter into this Agreement and to perform its obligations hereunderAgreement; and (b) in entering into the execution and delivery of this Agreement and the performance of its obligations hereunder do it does not conflict with rely on any promise, statement, representation or constitute a default under any of its contractual obligations; and warranty (cwhether in writing or not) with respect to its Component Products and Reference Materials, to its current knowledge it has not knowingly violated any Intellectual Property Rights of any third party.person (whether party to the Agreement or not) relating to the subject matter of the Agreement, other than as stated in the Agreement

Affiliate also represents, warrants and Reference Materials, to its current knowledge covenants that it has not knowingly violated any Intellectual Property Rights of any third partyshall comply with all Guidelines provided in accordance with these Terms.

Each Party party represents and warrants that it will comply with all laws, rules, and regulations applicable to the other that: (a) it has the corporate power exercise of its rights and authority and the legal right to enter into this Agreement and to perform its obligations hereunder; and (b) the execution and delivery of this Agreement and the performance of its obligations hereunder do not conflict with or constitute a default under any of its contractual obligations; and (c) with respect to its Component Products and Reference Materials, to its current knowledge it has not knowingly violated any Intellectual Property Rights of any third partythis Agreement.

Mutual Warranties. Each Party party represents and warrants to the other that: (ai) it has the corporate power full right, power, legal capacity, and authority and the legal right to enter into into, deliver and fully perform under this Agreement; (ii) neither the execution, delivery, nor performance of this Agreement and will result in a violation or breach of any contract, agreement, order, judgment, or decree to perform its obligations hereunderwhich such party is bound; and (biii) such party acknowledges that the execution and delivery of other party makes no representations, warranties or agreements related to the subject matter hereof that are not expressly provided for in this Agreement and the performance of its obligations hereunder do not conflict with or constitute a default under any of its contractual obligations; and (c) with respect to its Component Products and Reference Materials, to its current knowledge it has not knowingly violated any Intellectual Property Rights of any third partyAgreement.
