Monitoring and Notification Services. We will provide monitoring service to you throughout the Initial Term and Renewal Term, commencing when the System is installed and operational and when the necessary communications connection is completed. If we receive an alarm from your premises at our monitoring station, we will notify the applicable emergency responder(s), as determined in our discretion and subject to any requirements or limitations imposed by local laws, bylaws and regulations. We will also notify any emergency contacts that you have designated in writing. You may designate one or more emergency contacts, up to a maximum number determined from time to time by us. We recommend that you designate at least two emergency contacts to increase the chance that at least one of your contacts will be available to respond to an emergency notification. You are responsible for ensuring that the contact information you provide to us for you and your emergency contacts is correct and kept up to date. You hereby authorize any of your emergency contacts to act and give us instructions on your behalf. We may rely on those instructions, which may include instructions to cancel alarms or to refrain from notifying emergency responders. You acknowledge that we may be subject to applicable laws and industry standards designed to reduce false alarms or other verification procedures in response to monitored alarms and that these may result in practices and procedures that delay us in notifying emergency responders. We may, in our sole discretion, attempt to contact you to verify that a signal is not a false alarm. We may also, in our sole discretion, elect to notify emergency responders before notifying your emergency contacts. If we have reason to believe, in our sole discretion, that no emergency condition exists, we may elect not to notify emergency responders. In no event will we be liable to you if we cannot reach you or any emergency contact designated by you in response to an alarm signal. We do not guarantee that we will be able to communicate with you during an emergency. Please see Schedule “A” for more information about the monitoring and notification services.

Monitoring and Notification Services. Sprint will provide network monitoring services 24 hours per day, 7 days per week, 365 days per year, (“24x7x365”). Sprint will not provide proactive tickets on security events to Customer. Sprint may notify Customer of critical security alerts.
Monitoring and Notification Services. XXXXXXX GROUP will provide alarm monitoring, notification services, and guard response services if the Customer has requested for such services in the reverse of this Agreement. The person(s) identified on Customer’s Emergency Contact List are authorized to act on Customer’s behalf and are authorized to cancel an alarm prior to the notification of authorities. If an automatic cancel code is received XXXXXXX GROUP is authorized to cancel notification of authorities. XXXXXXX GROUP must comply with any current or future alarm dispatch procedures, bylaws, and/ or directives established from time to time by any government body, police department, or any other emergency service department in the Customer’s area, and XXXXXXX GROUP shall incur no liability and shall be held harmless for any loss, damage or personal injury sustained as a result of such compliance. The Customer agrees that XXXXXXX GROUP, or its nominee hereunder will attempt to verify alarm signals received from the Customer’s premises before dispatching emergency services. XXXXXXX GROUP shall incur no liability for any loss; damage or personal injury sustained as a result of any such verification or attempted verification. If the Customer has elected for XXXXXXX GROUP to provide alarm service that requires Police Response, Fire Department Response, Guard Response or Two Way Voice monitoring services and such an alarm is received at XXXXXXX GROUP alarm monitoring center, XXXXXXX GROUP may, at its sole discretion, attempt to contact the Customer and/ or anyone on the Customer Emergency Contact List by telephonefTwo Way Voice to verify that it is not a false alarm. If XXXXXXX GROUP is unable to contact the Customer and/or someone on Customer’s Emergency Contact List, or if the response received by XXXXXXX GROUP upon such contact is questionable, XXXXXXX GROUP will attempt to notify the appropriate police department or fire department or, if guard response service is being provided, XXXXXXX GROUP will, for an alarm that requires police response, endeavor to dispatch a representative to make an investigation of the exterior of the premises from the representative’s vehicle. Upon evidence of an attack/ intrusion, XXXXXXX GROUP will attempt to notify the appropriate police department. XXXXXXX GROUP will not arrest or detain any person.   • Implementation Services The Company and the Client have developed a plan for implementing the services to be provided hereunder, including with respect to the transition of responsibility for such services from the Client and its current administrator to the Company, which plan attached hereto as Schedule I (the “Implementation Plan”).   • Construction Administration Services The Engineer shall perform construction administration services during construction as necessary. Such services shall, as part of the services to be rendered for the Engineer's established fee, include as much of the Engineer's professional services and the services of the Engineer's consultants as the State deems necessary for the well-being of the project and efficient prosecution of the construction work, but shall not include the Engineer's undertaking continuous on-site observation of the work.
