Modules. Igloo may, pursuant to a supplemental Sales Contract to be signed by the parties, make available to Customer optional additional functionality or features to Igloo Environments (including Igloo Applications), which may be provided as standalone applications, modules, plugins or components (each, a “Module”). Certain Modules may require Customer to agree to additional or separate pricing and/or terms of use applicable to such Modules, which shall be set out in the applicable Sales Contract.

Transaction execution guidelines Guidelines on the execution of transactions of financial instruments A Preliminary remarks 1 Area of application These guidelines (the “Guidelines”) apply to the execution of transactions, which a Retail Client or Professional Client (hereinafter referred to as the “Client”) of Commerzbank AG (hereinafter referred to as the “Bank”) requests for the pur­ poses of buying or selling securities or other financial instru­ ments (for example, transactions on futures exchanges). Execution in this context means that the Bank executes a corresponding transaction with a third party in accordance with the Client’s order, in an appropriate market. If the Bank and the Client conclude a direct purchase contract for xxxxx­ cial instruments (also known as a fixed price transaction), then paragraph 8 hereof will apply. 2 Objective of transaction execution Client orders can be routinely executed at various trading venues, for example, at exchanges or multilateral trading facilities, in Germany or internationally, and in floor or elec­ tronic trading. The methods of execution and trading venues that the Bank can use to execute Client orders are set out in these Guidelines, which also describe some of the most important types of financial instrument, together with, in respect of each of these, the Bank’s policy of best execution in the interest of the Client. In determining actual trading venues the Bank assumes that the Client wishes primarily to obtain the best possible price, taking all costs associated with the execution of the trans­ action into account. Since securities are generally subject to price fluctuations, a negative price impact on the Client cannot be ruled out in the period after the order has been placed but before it has been executed. Should you choose to subscribe to the Module, these terms or the then current Subscription Licence shall govern your use of the Solution.

Supply chain management will provide the following services: • Identify the existing suppliers comprising the supply base. • Evaluate the supply base to determine if they have the capabilities and capacities to produce the quantities that are required. In some cases, if the supply is dependent on material or sub-suppliers, this evaluation must examine sub-tier supplier’s capacity as well. • Identify any limitations that prevent the supply base from producing the required capacities (gaps). • Negotiate supply agreements for equipment that has few qualified suppliers, critical supply schedules, or may have resource limitations to lock in capacities. To the extent possible, single source procurements would be avoided. • Identify procurement items that are required to support agreed upon schedule and develop a supply plan linked to the schedule. • Evaluate supplier bids, terms and conditions negotiated, and purchase orders executed in support of long lead procurement. • Review and negotiate long lead Equipment proposals for best terms and place orders to meet the Project Schedule. • Request engineering to assist or evaluate requirements from Equipment suppliers during fabrication as needed. • Value stream map the supply chain in cooperation with key suppliers to develop a sourcing plan to balance supply and demand. • Identify supply chain risks and develop and implement risk mitigation plans. • Conduct initial kick-off meetings with selected suppliers to assure all requirements are understood and suppliers are ready to implement appropriately. • Participate in periodic supplier meetings with long lead material sub-suppliers to assure requirements are understood and are being implemented consistent with order requirements. • Provide frequent follow-up and communications with suppliers to ensure progress consistent with plan and schedule. • Identify supply issues and execute timely corrective action when required. • Provide supply status to the project team. • Plan and coordinate logistics and transportation for delivery to the Site.
