Common use of Modifications Clause in Contracts

Modifications. This Agreement shall not be modified, cancelled or terminated except by an instrument in writing signed by the parties hereto. Additionally, from and after a Securitization, except to cure any ambiguity or to correct any error or as set forth in Section 18(a), this Agreement may not be modified unless a Rating Agency Confirmation has been delivered with respect to each Securitization.

Additionallyhereto (other than as set forth in Section 5(c)) and, from and after a Securitization, any modification that materially affects the rights of the Senior Noteholder shall be subject to Rating Agency Confirmation, except that no Rating Agency Confirmation shall be required in connection with a modification to cure any ambiguity or to correct or supplement any error provision herein that may be defective or as set forth in Section 18(a), this Agreement may not be modified unless a Rating Agency Confirmation has been delivered inconsistent with respect to each Securitizationany other provisions herein or with the Servicing Agreement.
