Common use of Modifications; Amendment Clause in Contracts

Modifications; Amendment. This Agreement shall not be modified, cancelled or terminated except by an instrument in writing signed by the parties hereto (other than as set forth in Section 5(c)) and, after Securitization, any modification that materially affects the rights of the Senior Noteholders shall be subject to Rating Agency Confirmation, except that no Rating Agency Confirmation shall be required in connection with a modification to cure any ambiguity or to correct or supplement any provision herein that may be defective or inconsistent with any other provisions herein or with the Servicing Agreement.

This Agreement shall not be modified, cancelled or terminated except by an instrument in writing signed by the parties hereto (other than as set forth in Section 5(c5(b)) and, after Securitization, any modification that materially affects the rights of the Senior Noteholders shall be subject to Rating Agency Confirmation, except that no Rating Agency Confirmation shall be required in connection with a modification to cure any ambiguity or to correct or supplement any provision herein that may be defective or inconsistent with any other provisions herein or with the Servicing Agreement.

Modifications; Amendment. This Agreement shall not be modified, cancelled or terminated except by an instrument in writing signed by each Noteholder. Additionally, for as long as any Note is contained in a Securitization Trust, the parties hereto (other than as set forth in Section 5(c)) and, after Securitization, any modification that materially affects the rights of the Senior Noteholders shall be subject to not amend or modify this Agreement without first receiving a Rating Agency Confirmation, except ; provided that no such confirmation from the Rating Agency Confirmation Agencies shall be required in connection with a modification or amendment (i) to cure any ambiguity ambiguity, or (ii) to correct or supplement any provision herein that may be defective or inconsistent with any other provisions herein of this Agreement or with the Servicing Agreement.
