Modification or Suspension by State or Federal Law. In the event that State, County or Federal laws or regulations, enacted after the Effective Date of this Agreement, prevent or preclude compliance with one or more of the provisions of this Agreement, such provisions of this Agreement shall be modified or suspended as may be necessary to comply with such State or Federal laws or regulations; provided, however, that this Agreement shall remain in full force and effect to the extent it is not inconsistent with such laws or regulations and to the extent such laws or regulations do not render such remaining provisions impractical to enforce.

Modification or Suspension by State or Federal Law. In the event the County, in good faith, reasonably determines that State or Federal laws or regulations enacted or adopted after the date hereof prevent or preclude compliance with one or more of the provisions of this Agreement, the Parties shall meet and confer in good faith in order to modify or otherwise amend this Agreement or the Development Approvals, consistent with Section 2.6.1, above, as may be necessary to comply with such state or federal laws or regulations; provided, however, that this Agreement and the Development Approvals shall remain in full force and effect to the extent they are not inconsistent with such laws or regulations, as determined by the County. In making determinations under this Section 2.7.3, the County shall consult with Developer. Nothing in this Agreement shall preclude Developer from contesting by any available means (including administrative or judicial proceedings) the County's determination of the applicability to the Project any such State or Federal laws or regulations.

If such state or federal laws or regulations prevent or materially frustrate Seaview Palms’ exercise of its rights under this Agreement to construct and operate the Permitted Sign, and if the applicable provisions of this Agreement cannot be modified in such a manner as to permit Seaview Palms to exercise its rights under this Agreement to construct and operate the Permitted Sign, then Seaview Palms shall have the right to terminate this Agreement by written notice to the City and replace the Permitted Sign with the Existing Sign.

  • Termination or Suspension Under Federal Law (i) If the Employee is removed and/or permanently prohibited from participating in the conduct of the Company’s affairs by an order issued under Sections 8(e)(iv) or 8(g)(i) of the Federal Deposit Insurance Act (“FDIA”) (12 U.S.C. 1818(e)(4) and (g)(1)), all obligations of the Company under this Agreement shall terminate, as of the effective date of the order, but vested rights of the Employee shall not be affected.

  • Governing Law; Binding Effect; Amendment and Termination (a) This Agreement shall be interpreted and enforced in accordance with the laws of the State of Delaware.

Notwithstanding the foregoing, however, provided no Event of Default is continuing, the approval of Lender and the Rating Agencies shall not be required with respect to the appointment of an Unaffiliated Qualified Manager. If at any time Lender consents to the appointment of a new property manager or a Qualified Manager is appointed, such new property manager (including a Qualified Manager) and Borrower shall, as a condition of Lender’s consent, execute (a) a management agreement in form and substance reasonably acceptable to Lender, (b) a subordination of management agreement in a form reasonably acceptable to Lender and (c) deliver an updated non-consolidation opinion in form and substance, and from counsel, reasonably satisfactory to Lender and satisfactory to the Rating Agencies, if such Qualified Manager is an Affiliate of Borrower, Guarantor or Key Principal (the foregoing conditions set forth in clauses (a)-(c), the “New Manager Conditions”).

  • Limitation of responsibility of Existing Lender (a) Unless expressly agreed to the contrary, an Existing Lender is not responsible to a New Lender for the legality, validity, adequacy, accuracy, completeness or performance of:

Lessee shall remain obligated under this Lease in accordance with its terms and Lessee hereby waives any and all rights now or hereafter conferred by statute or otherwise to modify or to avoid strict compliance with its obligations under this Lease. Notwithstanding any such statute or otherwise, Lessee shall be bound by all of the terms and conditions contained in this Lease.

  • Continuing Effect; No Other Amendments Except as expressly amended or waived hereby, all of the terms and provisions of the Credit Agreement and the other Loan Documents are and shall remain in full force and effect. The amendments and waivers contained herein shall not constitute an amendment or waiver of any other provision of the Credit Agreement or the other Loan Documents or for any purpose except as expressly set forth herein.
