Modification of Guaranty. The Guaranty is hereby modified and amended as follows:

Modification of Guaranty. This guaranty may not be modified or terminated orally. Modification of Guaranty. This Guaranty shall not be amended, supplemented or otherwise modified without the written consent of the Agent and the Majority Banks and, as to any Guarantor, such Guarantor. Except as otherwise provided in the Credit Agreement, this Guaranty shall not be released or terminated as to any Guarantor without the written consent of all Banks.
Modification of Guaranty. No modification, amendment or waiver of any provision of, or any consent required by, this Guaranty, nor any consent to any departure by Guarantor therefor, shall in any event be effective unless the same shall be in writing and signed by Guarantor and PCJL. Section 8.

This Guaranty shall be reinstated if any payment received Owner from Guarantor is returned or rescinded due to any law relating to bankruptcy, insolvency or other relief of debtors or for any other reason.
