Minimum Value. All of the parties to this Agreement recognize that one of the conditions to the Stockholders consummating the transactions contemplated herein is that the IPO shall be closed and the Stockholders and Other Stockholders (as a group) shall be entitled to receive consideration not less than the Minimum Value set forth on Annex I attached hereto.
