Common use of Minimum Principal Amount Clause in Contracts

Minimum Principal Amount. No sale of the Notes to any one Subsequent Purchaser shall be for less than U.S. $1,000 ($100,000 for Institutional Accredited Investors) principal amount and no Note shall be issued in a smaller principal amount. If the Subsequent Purchaser is a non-bank fiduciary acting on behalf of others, each person for whom it is acting must purchase at least U.S. $100,000 principal amount of the Notes.
