Minimum Guarantee and Maximum Ceiling Clause Samples
The "Minimum Guarantee and Maximum Ceiling" clause sets both a lower and upper limit on the amount payable or receivable under a contract. In practice, this means that regardless of actual performance or other variables, the party is assured a minimum payment, while also being capped at a maximum amount they can receive or must pay. For example, a service provider might be guaranteed a minimum fee even if usage is low, but cannot earn more than a specified ceiling even if usage exceeds expectations. This clause ensures financial predictability for both parties by preventing payments from falling below a certain threshold or exceeding a set maximum, thereby managing risk and budgeting concerns.
Minimum Guarantee and Maximum Ceiling. The minimum guarantee is $2,500 for each OASIS Contractor that does not obtain a task order award for the term of OASIS, including Option I, if exercised. The minimum dollar limitation for an individual task order must exceed the Simplified Acquisition Threshold as defined in FAR Subpart 2.101, as amended. There is no maximum dollar ceiling for each individual task order placed under ▇▇▇▇▇. An unlimited number of task orders may be placed under ▇▇▇▇▇ for the term of OASIS, including Option I, if exercised. There is no maximum dollar ceiling for OASIS, including Option I, if exercised.

The minimum dollar guarantee applies to the contract as a whole and not each ordering period, if exercised. The minimum dollar guarantee will be funded by FY16 funds. The minimum dollar amount for an individual task order must exceed the micro-purchase threshold as defined in FAR Section 2.101, as amended. The maximum dollar amount for each individual task order placed under an HCaTS SB contract is $2.3 billion for Pool 2. An unlimited number of task orders may be placed under an HCaTS SB contract throughout the ordering period, including options, if exercised. The maximum dollar amount for HCaTS SB, including all options, if exercised, $2.3 billion for Pool 2.
Minimum Guarantee and Maximum Ceiling a) The minimum guarantee of $1,000.00 will be provided to each Contractor that does not competitively attain a DO/TO award for the five (5) year base ordering period of this FRP MAC.
