Common use of Minimum Commitment Clause in Contracts

Minimum Commitment. If the Company for any reason fails to issue and deliver such Put Shares equal to or exceeding the Minimum Commitment Amount during the Commitment Period, then on the first business day after the expiration of the Commitment Period, the Company shall issue to the Investor warrants to purchase a number of shares equal to the Minimum Commitment Amount divided by the Bid Price. Such warrants shall be for the period of four (4) four years, shall have cashless exercise provisions, and shall be deemed shares under the Registration Rights Agreement annexed hereto, and shall be exercisable at a price equal to sixty (60%) percent of the Bid Price.
