Millennium Compliance Sample Clauses

Millennium Compliance. Borrower shall take all action necessary to assure that there will be no material adverse change to Borrower's business by reason of the advent of the year 2000, including without limitation that all computer-based systems, embedded microchips and other processing capabilities effectively recognize and process dates after April 1, 1999, except for personal office computers and network stations which will be compliant by October 1, 1999. At FINOVA's request, Borrower shall provide to FINOVA assurance reasonably acceptable to FINOVA that Borrower's computer-based systems, embedded microchips and other processing capabilities are year 2000 compatible.

Millennium Compliance. A. Except as noted in Schedule 3.22.3, the Owned Software and to the best knowledge of Company, the Customer Software and Other Software, are "Millennium Compliant." For the purposes of this Agreement "
Millennium Compliance. Seller has taken those steps outlined on SCHEDULE 4.22 to determine whether its information systems used in connection with the Business are Millennium Compliant. "Millennium Compliant" means the ability when used individually or in conjunction with any other systems, software or equipment to: (a) accurately process Date Data before, after and across December 31, 1999 and throughout the year 2000 and beyond (including by recognizing the year 2000 as a leap year); (b) provide correct results when moving backwards and forwards between the 20th and 21st century; and (c) function without error or without interruption related to or caused by Date Data. For the purposes of this definition, "Date Data" means data which represents or references dates in the same and/or different centuries.
Millennium Compliance. SCHEDULE 3.1.25 describes the measures that have been implemented to determine the extent to which the computer systems used by the Company in its business (the "COMPUTER SYSTEMS") are not in Millennium Compliance, and the material details of any program undertaken with a view towards causing the Computer Systems to achieve Millennium Compliance.
Millennium Compliance. HealthGate warrants that (a) the occurrence in or use by the System of dates on or after January 1, 2000 ("Millennial Dates") will not adversely affect its performance at any level with respect to date-dependent data, computation, output or other functions; and (b) the System will create, store, receive, process and output information related to or including Millennial Dates without error or omissions. Millennium Compliance. All hardware and software, whether embedded or otherwise, used or licensed for use in the business of Acquirer and its Subsidiaries as presently conducted is Millennium Compliant or will be Millennium Compliant by a date so that the business, operations or financial condition of Acquirer and its Subsidiaries will not be adversely affected. Acquirer is undertaking all reasonable efforts necessary to determine whether any third party with whom Acquirer has a material business relationship has software that is Millennium Compliant and to replace all such material business relationships where, in the judgment of Acquirer, software that is Millennium Compliant is not present and will not be present in time to avoid processing failures or errors that would have a detrimental impact on such third party that could be detrimental to Acquirer and its Subsidiaries.
Millennium Compliance. To the knowledge of the Company after due --------------------- inquiry, all computer software used by the Company and/or any of its Subsidiaries is capable (or will be capable by October 1, 1999) of operating consistently after December 31, 1999 to accurately process data (including calculating, comparing and sequencing) from, into and between the twentieth and twenty-first centuries, including leap year calculations, and is otherwise currently "Year 2000 compliant," except where the failure to operate consistently or be "Year 2000 compliant" could not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect. The Company has adopted and implemented a plan to investigate and correct any and all "Year 2000 problems" associated with the operation of the Company's and its Subsidiaries' businesses and has provided to Purchaser a complete and correct copy of such plan.

Millennium Compliance. Each of the Borrower and Guarantors has reviewed its business and operations and has developed a plan to address on a timely basis the risk that computer applications used by it in performing date sensitive functions and involving dates prior to December 31, 1999 and thereafter might fail to perform such functions properly which failure would reasonably be expected to have a Material Adverse Effect.
Millennium Compliance. The Company has adopted and implemented a plan to investigate and correct "year 2000 problems" associated with the operation of the Company's and its Subsidiaries' businesses. The Company has provided to Parent a complete and correct copy of such plan, an accurate written explanation of the costs that the Company and its Subsidiaries have incurred to investigate and correct the "year 2000 problem," as well as a written report of its estimates of the costs to be incurred in the future to investigate and correct the "year 2000 problem." Neither the Company nor any of its Subsidiaries has received written notice from the OCC that any Subsidiary of the Company that is a national bank fails to comply with the guidelines of the OCC with respect to "year 2000 problems."
Millennium Compliance. Premier represents and warrants that it has --------------------- tested and assessed its software, hardware, and other computer equipment to ensure that there will not be a Year 2000 Problem. Premier further represents and warrants that it has prepared and implemented a written plan of action to ensure that the software, hardware, and other computer equipment owned, licensed, or used by Premier will not be the subject of a failure in any such software, hardware, or other computer equipment as a result of a Year 2000 Problem. Premier further represents and warrants that it has contacted and received assurances from all key suppliers of goods and services to Premier, including but not limited to suppliers of computer software, computer hardware, and other computer equipment, that each of the software, hardware, and other computer equipment owned, licensed, or used by such suppliers will not be the subject of failures in any such software, hardware, or other computer equipment as a result of a Year 2000 Problem.
