Milestone Fees. Licensee will pay Milestone Fees indicated in Section 3.1(b) of the Patent & Technology License Agreement by the Quarterly Payment Deadline for the Contract Quarter in which the milestone events set forth in Section 3.1(b) of the Patent & Technology License Agreement are achieved.
Milestone Fees. In consideration of the rights and licenses granted to Licensee under Section 2.1 with respect to the exercise of a given Commercial Option, Licensee shall pay Licensor the following one-time milestone payments, on a per Licensed Indication basis, for the first Licensed Product for each Licensed Indication in the Field to achieve such milestone event:

If Licensee exercises the Commercial Option granted to Licensee under Section 2.3 with respect to any Disease Indication, in consideration of the rights and licenses granted to Licensee under this Agreement, Licensee shall pay Licensor the following milestone payments on a per-Disease Indication basis for the first Licensed Product for such Disease Indication to achieve such milestone event:

As further consideration for the grant to Monsanto of the licenses under the Evogene Patent Rights and Evogene Know-How in Section 3.1, and to provide a convenient means for measuring the value of these licenses, Monsanto shall pay Evogene the following non-refundable milestone fees (“Milestone Fees”) upon the occurrence of the following events (the “Milestones”), each of which shall be subject to recoupment pursuant to Section 6.10 if and to the extent that any Collaboration Hit Homolog in the relevant Collaboration Hit Set, Special Collaboration Hit, PlaNet Gene Homolog, PlaNet Xxxx Xxxxx or RePack Recommendation in respect of which the Milestone Fee is paid shall generate Evogene Product Royalties:

In consideration for the rights granted to Mahyco under this Agreement, Arcadia shall receive from Mahyco the following development milestone fees (each […*…] = CERTAIN CONFIDENTIAL INFORMATION CONTAINED IN THIS DOCUMENT, MARKED BY BRACKETS, HAS BEEN OMITTED AND FILED SEPARATELY WITH THE SECURITIES AND EXCHANGE COMMISSION PURSUANT TO RULE 406 OF THE SECURITIES ACT OF 1933, AS AMENDED. a “Milestone Fee”). Each Milestone Fee shall be paid only once under this Agreement, within thirty (30) days of achievement of the corresponding milestone by either Mahyco, a Mahyco Affiliate, or a Sublicensee, with the understanding that such thirty (30) day periods shall commence on the date on which the Program Committee confirms that the relevant milestone has been achieved and memorializes the same by including such confirmation in the written minutes of a meeting or in another written document. Achievement of any of the below-stated milestones shall constitute de facto achievement of all prior milestones.
