Membership Programs. Mezzanine Borrower shall receive Mezzanine Lender's prior written consent to make any material modifications to (or permit Mortgage Borrower to make any material modifications to) any existing membership program or similar program at the Property or enter into any new membership or similar program at the Property to the extent such modification or new program (i) would allow any member to redeem a membership deposit prior to Mortgage Borrower obtaining at least one new membership deposit in an amount at least equal to the existing deposit to be redeemed (i.e., a 1:1 redemption program), or (ii) could adversely affect the value of Mezzanine Lender's security for the Loan.
Membership Programs. Samsung Pay provides access to certain third party loyalty or membership C ards and similar programs (“Membership Program(s)”). You agree to comply with any additional terms and conditions established by the Membership Program provider. Membership Cards may be accessed or used in Samsung Pay with or without biometric authentication or PIN verification. Membership Cards added to Your device may be stored by Samsung allowing for portability to other Samsung devices. Samsung is not liable for any errors or omissions contained within any Membership Program. You agree to look solely to the Membership Program provider to resolve any questions or disputes relating to a Membership Program.

Membership Programs. Sellers' liabilities and obligations to members as of the Closing Date under the membership programs of the Business to the extent disclosed on Schedule 4.16 hereof for the balance of the current membership year, subject to Sellers' obligations under Section 10.2 hereof.
Membership Programs. Schedule 4.16 sets forth (i) a description of all membership programs applicable to customers of the Business or any other program which entitles customers of the Business to purchase goods from the Business at a discount or on other preferential terms, and (ii) a membership list for each such membership program which includes the expiration date of the current membership term for each such member.
Membership Programs. After the Closing, Sellers shall promptly reimburse Buyer for all liabilities and obligations to members as of the Closing Date under the membership programs applicable to the Business disclosed on Schedule 4.16 hereof for the balance of the current membership year, including, without limitation: (i) all shipping and handling charges for purchases by Austxx'x Xxxantage Club members, (ii) the difference between the advertised or other standard price and the discounted price paid by Austxx'x Xxxferred Club members, and (iii) all refunds of annual membership fees, except, in each case, to the extent such liability results from Buyer's negligence or wilful misconduct.
