Members are required to: ⦁ comply with all applicable laws concerning the storage, preparation and distribution of food; ⦁ ensure that the transport provided has such refrigeration and storage space as is required to comply with applicable health and safety laws, where food to be collected includes chilled or frozen items, and to maintain food quality; ⦁ provide refrigeration and freezer space to ensure the safe and hygienic storage of all food items in accordance with applicable health and safety laws and to prevent deterioration; ⦁ comply and ensure that employees (including volunteers) and agents comply with all Foodbank instructions, including those instructions relating to the collection, transportation, storage, preparation and distribution of food; ⦁ pay the appropriate and variable handling fee; ⦁ provide transport to collect food from Foodbank ⦁ keep such records relating to the receipt and distribution of food as the CEO may require from time to time; ⦁ Comply with the terms of any monitoring programmes established by Foodbank, including allowing reasonable access by authorised Foodbank representatives to the member’s food storage and preparation areas. ⦁ provide fair and reasonable information upon request to enable Foodbank to improve its service to the community ⦁ Assist by providing food relief to those in need within their community, when requested by Foodbank.

The Parties agree that Membership has the following obligations: Maintain active membership in good standing with USPAE; Unless directed otherwise by the Government, be a U.S. firm or institution organized or existing under the laws of the United States, its territories, or possessions. For the purposes of this Agreement, any agency or instrumentality of a foreign government shall not be granted Membership; Not be barred from contracting with or receiving funds from the United States Government; Be current (no greater than 60 days past due) on membership dues or other payments; Contribute their respective talents and resources to the Consortium for activities such as periodic meeting attendance, committee and subcommittee participation, and other activities as may be appropriate; Maintain an active Military Critical Technical Data Agreement (Form DD 2345) certification with the U.S./ Canada Joint Certification Office, Defense Logistics Information Service to facilitate receipt of Controlled Unclassified Information from the Government or the Consortium Management Firm; Not transfer Membership to any third party; Comply with all applicable export control laws and regulations of the United States, including the Arms Export Control Act (“AECA”), the International Traffic in Arms Regulations (“ITAR”), the Export Administration Regulations (“EAR”), and other U.S. government directives related to export control; and Comply with all applicable U.S. antitrust laws. Members may need to provide proprietary data to the CMF in order for the CMF to successfully satisfy its obligations under the Management Services Agreement and the OTA. Accordingly, a Proprietary Information Exchange/Nondisclosure Agreement is incorporated herein as Exhibit A, and will govern the exchange and use of proprietary data between Members and the CMF. This Exhibit is not applicable to individual Consortium Members who decide to share proprietary information with each other unless they expressly agree to use these terms for that purpose. This Agreement shall be governed by the laws of the State of New York, to the extent it does not conflict with the public academic research institution’s state law, without giving effect to its choice of law principles. Membership Obligations. (a) The Member undertakes to follow and comply with: (a) the Agreement; (b) the policies and guidelines of the Corporation, including the Project Selection Guidance Document; (c) the Code of Ethics; and (d) its confidentiality obligations, including under the Member Collaboration NDA substantially similar to Schedule B attached herein.
Membership Obligations. Section 3.01. Membership in the CCC-AAUP is not compulsory. Members of the bargaining unit have the right to join or not to join the CCC-AAUP as each may decide. Neither party shall coerce or discriminate against a faculty member in this regard. However, the parties recognize that as the exclusive bargaining agent and grievance representative for all members of the bargaining unit, which includes both members and non-members of the CCC-AAUP, the CCC-AAUP performs an important service for members of the bargaining unit and contributes toward fulfillment of the mission of the institution.

Membership Obligations. In order to maintain membership status and continued participation in the JNCAA program, JNCAAM must comply with the terms and conditions in this Agreement and all Online Policies, Guidelines and Procedures. All Authorized Courses are subject to the terms and conditions on the Juniper Networks Learning Portal. JNCAAM must regularly check the JNCAA Website for announcements, instructions, and directions to perform its obligations under this Agreement.
