Member Acknowledgements. To facilitate the Company’s ability to incur and maintain Financings, other obligations and guarantees and to otherwise make available Credit Support for Financings, other obligations and guarantees, each Member hereby agrees to and acknowledges the acknowledgements, agreements and representations set forth in Appendix II.

Member Acknowledgements. Membership in the Plan or Program and or Members rights or duties under this Agreement may not be assigned or delegated without the prior express written consent of DENTALPLANS. COM and/or its licensed participating Discount Medical Plan Operators. Member agrees that he/she will use his/her Plan or Program Membership only for his/her personal benefit or for the benefit of his/her Family Members (if Family Program is elected). Family Members are defined by the specific Plan or Program chosen by the Member. A Members violation of this Paragraph may, at the discretion of XXXXXXXXXXX.XXX and/or its licensed participating Discount Medical Plan Operators, result in immediate termination of the Plan or Program Membership.

Member Acknowledgements. Member understands and agrees that CRRE goes to great time and expense to obtain CRRE Clients, CRRE Customers and referral sources, and to train and recruit CRRE employees and agents. Member acknowledges that Member will derive significant value from CRRE's providing Member with Confidential Information to enable Member to optimize the performance of Member's duties to CRRE. Member agrees that Member would not know the identity of these individuals or the specific terms of the relationships if Member were not affiliated with CRRE. Member acknowledges that the time, geographic and scope limitations of the restrictive covenants above are reasonable and that Member will not be precluded from the ability to earn a livelihood if Member is obligated to comply with the covenants as set forth above during the prohibited period and within the geographic restrictions. Member further acknowledges that Member's fulfillment of the obligations contained in this Agreement, including, but not limited to, Member's confidentiality, non-compete and non-solicitation obligations, are necessary to preserve the value and goodwill of CRRE.
