Meetings of the Trust. Meetings of the Interestholders of the Trust or any Series thereof may be called by the Managing Owner and will be called by it upon the written request of Limited Owners holding Interests equal to at least ten percent (10%) of the Net Asset Value of a Series of the Trust or any Series thereof. Such call for a meeting shall be deemed to have been made upon the receipt by the Managing Owner of a written request from the requisite percentage of Limited Owners. The Managing Owner shall deposit in the United States mails, within fifteen (15) days after receipt of said request, written notice to all Interestholders of the Trust or any Series thereof of the meeting and the purpose of the meeting, which shall be held on a date, not less than thirty (30) nor more than sixty (60) days after the date of mailing of said notice, at a reasonable time and place. Any notice of meeting shall be accompanied by a description of the action to be taken at the meeting and an opinion of independent counsel as to the effect of such proposed action on the liability of Limited Owners for the debts of the Trust. Interestholders may vote in person or by proxy at any such meeting.

Meetings of the Trust. (a) To the extent required by the Exchange, meetings of the Shareholders shall be called by the Manager at least annually. In addition, meetings of the Shareholders may be called by the Manager upon the written request of Shareholders holding at least 20% of the issued and outstanding Shares of the Trust (excluding any Shares held by the Manager or its Affiliates). Such call for a meeting shall be deemed to have been made upon the receipt by the Manager of a written request from the requisite percentage of Shareholders. Upon (i) the decision of the Manager, in its sole discretion, to call a meeting or (ii) the call for a meeting pursuant to the written request of Shareholders holding at least 20% of the issued and outstanding Shares of the Trust (excluding any Shares held by the Manager or its Affiliates), the Manager shall deposit in the United States mail and, if such notice is in response to a request described in Clause (ii) above, then within thirty (30) days after receipt of said request, written notice to all Shareholders of the meeting and the purpose of the meeting, which shall be held on a date, not less than thirty (30) nor more than sixty (60) days after the date of mailing of said notice, at a reasonable time and place. Any notice of meeting shall be accompanied by a description of the proposed action to be taken at the meeting. In addition, in the event that the proposed action to be taken at such meeting would result in altering any provision within this Trust Agreement with respect to the liability of the Shareholders for the debts of the Trust, the Manager shall deliver to all Shareholders, no later than five (5) days prior to the date of such meeting, an opinion of independent counsel as to the effect of such proposed action on the liability of Shareholders for the debts of the Trust.

Attendance by a person at a meeting shall also constitute a waiver of notice of that meeting, except when the person objects at the beginning of the meeting to the transaction of any business because the meeting is not lawfully called or convened and except that attendance at a meeting is not a waiver of any right to object to the consideration of matters not included in the notice of the meeting if that objection is expressly made at the beginning of the meeting. Unitholders entitled to vote on any matter shall have the right to do so either in person or by one or more agents authorized by a written or electronic proxy authorized by the person and filed with the Managing Owner. A proxy shall be deemed authorized if the Unitholder’s name is placed on the proxy (whether by manual signature, typewriting, telephonic or internet transmission or otherwise) by the Unitholder or the Unitholder’s attorney-in-fact. Meetings of the Trust. The Trust shall meet at least quarterly at such time and at such place as the Trustees shall determine. Notice of all meetings of the Trust shall be given in accordance with the provisions of the Open Meeting Law, Massachusetts General Laws Chapter 39, Sections 23A, 23B and 23C. A quorum at any meeting shall be a majority of the Trustees qualified and present in person. Minutes of all meetings shall be kept with the Town Clerk in accordance with the provisions of the Open Meeting Law, Massachusetts General Laws Chapter 39, Sections 23A, 23B and 23C.
