MEASURING TOOLS. As of the Effective Date, the measuring tools and methodologies set forth in Attachment 3-B represent acceptable measuring tools and methodologies for the Critical Service Levels and Key Measurements designated. If there are any Critical Service Levels for which the measuring tools and methodologies have not been agreed upon by DIR and the Service Provider and for which measuring tools are not included in Attachment 3-B, and the Service Provider fails to propose a measuring tool for such Critical Service Level that is acceptable to DIR prior to the date upon which the Service Provider shall be responsible for Service Level performance and Service Level Credits due for Service Level Default, such failure shall be deemed a Service Level Default for the Critical Service Level until the Service Provider proposes and implements such acceptable measuring tool. DIR will not unreasonably withhold approval for the Service Provider's recommendation for an alternate tool. Tools for new Critical Service Levels will be implemented according to the Change Control Procedures. Upon DIR’s written notice approving a proposed alternate or new measurement tool, such tool shall be deemed automatically incorporated into Attachment 3-B as of the date for completion of implementation set forth in DIR’s notification without requirement for an additional written amendment of this Agreement. If, after the Effective Date or the implementation of tools for new Critical Service Levels, the Service Provider desires to use a different measuring tool for a Critical Service Level, the Service Provider shall provide written notice to DIR, in which event the Parties will reasonably adjust the measurements as necessary to account for any increased or decreased sensitivity in the new measuring tools; provided that, if the Parties cannot agree on the required adjustment, the Service Provider will continue to use the measuring tool that had been initially agreed to by the Parties. It is not anticipated that changes in the measuring tools will drive changes in Service Levels; rather, the need to collect and accurately reflect the performance data should drive the development or change in performance monitoring tools. Service Provider will configure all measuring tools to create an auditable record of each user access to the tool and any actions taken with respect to the data measured by or residing within the tool. MEASURING TOOLS. Contractor represents and warrants that (a) on or before the Pilot Commencement Date, it shall have in place all necessary measurement, monitoring and collection tools and procedures that are necessary to measure, monitor, collect and report on the performance of all Measured Services against the applicable Service Level and all other data related thereto that is reasonable capable of being monitored, measured, collected, and recorded, in each instance accordance with then-current industry best practices, and (b) it shall maintain such tools and procedures in accordance with then-current industry best practices thereafter throughout the Term. In furtherance of the foregoing but without limiting the generality thereof, Contractor represents and warrants that its measurement, monitoring, collection and reporting of the actual performance of each Measured Service shall permit reporting at a level of detail sufficient to permit the Authority to verify the actual level of performance of the Measured Service.
MEASURING TOOLS. As part of the Services throughout the Term, Service Provider shall implement and use the measurement and monitoring tools and procedures necessary to measure its performance of the Services against the agreed-upon Service Levels. Such measurement and monitoring tools and procedures shall be at no additional charge for the Service Levels covered by this Agreement as of the 2nd Amendment Date. If Service Provider is required to implement additional measurement and monitoring tools for new Service Levels requested by Customer after the 2nd Amendment Date, such addition shall be added in accordance with the provisions of Article 3 of the Agreement. Such measurement and monitoring and procedures will permit reporting at a level of detail that is sufficient to permit Service Provider to verify compliance with the Service Levels. The Service Level definitions will be agreed upon by the Parties in accordance with the process described in Section 8 of this Schedule F.

MEASURING TOOLS. The measuring tools and methodology to be used by Unisys to measure and report on Service Level performance shall be agreed upon by Unisys and City (for Service Levels set forth in Attachment 1 to this Appendix) on or before the Effective Date. If Unisys fails to measure a Service Level, such failure shall be deemed a Service Level Default for the Service Level and Unisys shall issue City any Service Level Credits applicable to such Service Level each month until Unisys proposes and implements an acceptable measuring tool. The Parties shall update the “Measurement Tool” column of Attachment 1 to this Appendix to include all new, mutually agreed upon measurement tools and methodologies. Measuring tools for new Service Levels (excluding adjustments to existing Service Levels) shall be implemented in accordance with the Contract Amending process. If one Party requests to use a different measuring tool or methodology for a Service Level, such request shall be subject to the Contract Amending process, including the timing for the implementation of any new tool. If City provides a measurement tool, then City may change the measurement tool in its discretion and the Parties shall agree to any adjustments to the Service Level measurements as reasonably necessary to account for any increased or decreased sensitivity in the new measuring tools. It is not anticipated that changes in the measuring tools shall drive changes in Service Levels; rather, the need to collect and accurately reflect the performance data should drive the development or change in measuring tools.
MEASURING TOOLS. To the extent that Provider fails to measure any Service Level, such failure will be deemed a failure to meet the applicable Service Level, and the failure will be deemed to continue to occur each Measurement Period until Provider is capable of measuring such Service Level performance to the satisfaction of T-Mobile.

MEASURING TOOLS. The monitoring tools to be used by ALLTEL for measuring the Service Levels, shall be identified and agreed by the Parties prior to the Managed Operations Commencement Date. If, with Client's approval, ALLTEL elects to change monitoring tools, the parties will reasonably adjust the measurements as necessary to account for any increased or decreased sensitivity in the new monitoring tools, provided that ALLTEL has identified those differences prior to Client's approval.
MEASURING TOOLS. ALLTEL will select and use monitoring tools reasonably determined by ALLTEL to measure the Service Levels. Client may review the monitoring tools selected by ALLTEL, and may advise ALLTEL if Client believes the selected tool(s) is not sufficient to measure and report ALLTEL's performance against the Service Levels. If the tool(s) selected by ALLTEL is not sufficient to measure and report valid performance data, ALLTEL shall promptly correct or replace such monitoring tools at no additional cost to Client. If Client asks ***** [CONFIDENTIAL] ALLTEL to use a new or different monitoring tool for any other reason, ALLTEL will comply with Client's request so long as such request does not require ALLTEL to incur any out-of-pocket expense or to provide additional hardware, software or personnel resources to acquire, maintain and operate such tools. In the event ALLTEL will incur out-of-pocket expense or must provide additional hardware, software or personnel resources to acquire, maintain and operate such tools, ALLTEL will acquire and utilize such tools provided that Client agrees to reimburse ALLTEL for any out-of-pocket expenses incurred and to compensate ALLTEL for any additional hardware, software or personnel resources required, in each case whether incurred as a one-time expense or as an on-going basis, for the use and operation of such tool. ALLTEL's charges for acquisition and utilization of a new tool requested by Client shall be subject to Client's prior approval of such charges. In the event Client does not approve ALLTEL's charges, ALLTEL shall not be obligated to provide such requested tool.

If there are any Critical Service Levels for which the measuring tools and methodologies have not been agreed upon by Customer and EDS and included in Exhibit 3-E (Measuring Tools and Methodologies), EDS will in good faith make reasonable efforts to propose a measuring tool that is acceptable to Customer. Tools for new Critical Service Levels will be implemented according to the Change Managment procedures. If, after the Commencement Date or the implementation of tools for new Critical Service Levels, EDS desires to use a different measuring tool for a Critical Service Level, EDS shall provide written notice to Customer, in which event the Parties will reasonably adjust the measurements as necessary to account for any increased or decreased sensitivity in the new measuring tools; provided that, if the Parties cannot agree on the required adjustment, EDS will continue to use the measuring tool that had been initially agreed to by the Parties. It is not anticipated that changes in the monitoring tools will drive changes in Service Levels; rather, the need to collect and accurately reflect the performance data should drive the development or change in performance monitoring tools.
