MEASUREMENT AND VERIFICATION. (a) Buyer shall measure the amount of Distribution Services that Seller delivers from the Project for all purposes under this Agreement using the methodologies and parameters set forth in Appendix VIII. (b) Seller shall submit for Buyer’s review a Measurement and Verification Plan, in a format reasonably acceptable to Buyer, in accordance with Appendix VIII. Within sixty (60) days of Buyer’s receipt of the Measurement and Verification Plan, Buyer shall provide Notice to Seller if the Measurement and Verification Plan is not acceptable to Buyer, and identify the inconsistencies with the requirements set forth in Appendix VIII in such Notice. Seller shall resolve such inconsistencies to satisfy the Delivery Condition set forth in Section 2.2(a)(x). If no Notice is provided to Seller within sixty (60) days of Buyer’s receipt of the Measurement and Verification Plan, the Measurement and Verification Plan shall be deemed approved. (c) Seller shall not make any material modifications to the Measurement and Verification Plan without the prior written consent of Buyer, which consent shall be in Buyer’s reasonable discretion.

Seller shall address the deficiencies and resolve such any inconsistencies to satisfy the Delivery Condition set forth in Section 2.2(a)(x). If no Notice is provided to Seller within sixty (60) days of Buyer’s receipt of the Measurement and Verification Plan, the Measurement and Verification Plan shall be deemed approved. (c) . Seller shall not make any material modifications to the Measurement and Verification Plan without the prior written consent of Buyer, which consent shall be in Buyer’s reasonable discretion.. (b) Seller shall submit for Buyer’s review a Measurement and Verification PlanPlan for the Project, in a format reasonably acceptable to Buyer, in accordance with Appendix VIII. X. (c) Seller shall not make any material modifications to the approved Measurement and Verification Plan during the Delivery Term without the prior written consent of Buyer, which consent shall be in Buyer’s reasonable discretion.
