(b) The Seller Warranty Recipients may not make and neither Seller is liable for any Claim for a breach of a Seller Warranty unless full details of the Claim have been notified to the Sellers within one year of the Completion Date. (c) A Claim will not be enforceable against either Seller and is to be taken for all purposes to have been withdrawn unless, within 6 months of the date the Buyer is required to notify the Sellers of the Claim under clause 8.4(a), the Buyer has issued or served legal proceedings against the relevant Seller in respect of the Claim. 8.5

(a) The Seller and the Seller’s Guarantor are not liable under a Claim (other than a Claim under clause 8, a Tax Claim or a Claim arising under an Excluded Warranty) unless the amount finally agreed or adjudicated to be payable in respect of that Claim exceeds $53,300, in which event, subject to clauses 11.4(b), 11.4(c), 11.4(d) and 11.4(e), the Seller and the Seller’s Guarantor are liable for all of that amount including the initial $53,300. 11 Qualifications and limitations on Claims

The total amount of all sums that may be due by the Seller to the Buyer pursuant to all Notices notified by the Buyer under this Agreement, shall in no event exceed the amount of [one million six hundred thousand] ([1,600,000]) francs. No Indemnity shall be due for a notification made regarding a Loss of an individual amount inferior to 30.000 francs, being understood however that the sum of such Notices, when it will exceed this amount, shall be indemnified conforming the provisions of the Contract hereof.
