No representation or warranty of Seller in this Agreement, nor any written statement, schedule or certificate furnished to Buyer pursuant hereto, contains or will contain any untrue statement of a material fact or omits or will omit to state any material fact necessary to make the statements contained herein or therein not misleading or necessary to provide Buyer with accurate information as to the Business.
