Common use of Material Contracts and Commitments Clause in Contracts

Material Contracts and Commitments. All material contracts, agreements and instruments to which the Company is a party are in full force and effect in all material respects, and are valid, binding and enforceable by the Company in accordance with their respective terms, subject to the effect of applicable bankruptcy and other similar laws affecting the rights of creditors generally, and rules of laws concerning equitable remedies.

Material Contracts and Commitments. All material contracts, agreements and instruments to which the Company is a party are valid, binding and in full force and effect in all material respects, and are valid, binding and enforceable by the Company in accordance with their respective terms, subject to the effect laws of applicable bankruptcy general application relating to bankruptcy, insolvency and other similar laws affecting the rights relief of creditors generallydebtors, and rules of laws concerning law governing specific performance, injunctive relief or other equitable remedies. Each such material contract, agreement and instrument has been listed in the Company Disclosure Letter.

Material Contracts and Commitments. All the material contracts, agreements and an instruments to which each of the Company and its Subsidiaries is a party are valid, binding and in full force and effect in all material respects, and are valid, binding and enforceable by the Company in accordance with their respective terms, subject to the effect of applicable bankruptcy and other similar laws affecting the rights of creditors generally, and rules of laws concerning equitable remedies.

Material Contracts and Commitments. All the material contracts, agreements commitments, agreements, and instruments to which the Company is a party are legal, valid, binding, and in full force and effect in all material respects, and are valid, binding respects and enforceable by the Company in accordance with their respective termsterms except as limited by bankruptcy, subject to the effect of applicable bankruptcy and other insolvency, reorganization, moratorium, or similar laws of general application affecting enforcement of creditors' rights, and except as limited by application of legal principles affecting the rights availability of creditors generally, and rules of laws concerning equitable remedies. The Company is not in material default under any of such contracts.
