Marketing Commitments. (a) Following the Effective Date, Operating Partnership, Prodigy, SBC Sub and SBC agree to use commercially reasonable efforts to facilitate and coordinate the Marketing of the Prodigy Service.

Marketing Commitments. Licensee shall promote titles from Licensor (in addition to E-Copy Titles) on the redemption pages for E-Copy Files in a manner that is no less favorable to Licensor than the promotion offered by Licensee to other content licensors. Without limiting the foregoing, when such functionality is available, Licensee shall offer to Customers who in engage in an E-Copy Transaction the ability to acquire a mutually agreed upon number of Included Programs selected by Licensor in its sole discretion (the “Cross Sell Included Programs”) immediately after a Customer has successfully obtained an E-Copy File.
Marketing Commitments. Subject to Purchasing Entity pre-approval, Purchasing Entity will work with Contractor in marketing the Employee Advantage Program to its employees by: • Allowing Contractor to participate in any applicable on-site vendor attended benefits events for Purchasing Entity’s employees; • Allowing Contractor to advertise in Purchasing Entity publications sent to employees (such as newsletters, journals, magazines, periodicals or new employee packets); • Including information regarding the Employee Advantage Program in periodic email announcements regarding employee benefit opportunities; • Posting Employee Advantage Program offers on the Purchasing Entity’s intranet; • Allowing Contractor to utilize Purchasing Entity’s name in marketing initiatives to Purchasing Entity’s employees; or • Cooperating with any other efforts mutually agreed upon by Purchasing Entity and Contractor aimed at marketing the Employee Advantage Program benefits to Purchasing Entity’s employees.

Marketing Commitments. At a minimum, LICENSEE will market and promote the HP Branded Products through Approved Distribution Partners where similar competitive products and related or complementary HP products are sold within the Territory. As appropriate, LICENSEE will utilize promotional and advertising activities for the HP Branded Products which may include the following: (i) promotion campaigns; (ii) co-promotion and co-marketing with HP products, where possible; (iii) trade-show events; (iv) point of purchase/point of sale materials (signs, end caps, etc.); and (v) launch road shows for new products. LICENSEE will be responsible for all costs of development and maintenance of its web site. All web pages must be approved in writing by HP prior to being made available to the public. LICENSEE will be responsible for the cost of in-box promotional materials, including the costs of production and delivery to HP, while HP will be responsible for the cost of insertion and distribution of such materials once they are received by HP.

The marketing plan shall be attached to this Agreement as Schedule C, Marketing Commitments. Failure of Community Sponsor to fulfill the Marketing Commitments shall be a material breach of this Agreement.

Marketing Commitments. If within six months of the execution of this Agreement the Licensee has failed to make the Licensed Products generally available to wholesale customers in the Territory, Licensor shall have the right to terminate this Agreement by providing the Licensee with written notice of termination. If within twelve months of the execution of this Agreement, the Licensed Products are not generally available to retail customers in the Territory, Licensor shall have the right to terminate this Agreement by providing the Licensee with written notice of termination.
