Marketing and Sales Activities. Guilford shall direct the planning and conduct or, if it shall so determine, the cancellation, of: (i) the GLIADEL presentation at the Society for Neurooncology scheduled to start on November 8, 2000 in Chicago, Illinois; and (ii) the November conference in Puerto Rico to educate neurosurgeons about the results of the First Surgery Trial. APPI shall use reasonable efforts to assist Guilford in the conduct of such meetings. APPI will continue to support, or Guilford at its discretion may assume, the existing Unrestricted Education Grants, media plan, public relations plan and the GO Project Grant through the Transition Date (except to the extent that Guilford may request APPI to cease any such activities). Guilford will reimburse APPI promptly upon receipt of an invoice from APPI for its out-of-pocket expenses incurred for each of the foregoing meetings, grants and plans, including without limitation any such expenses related to canceled meetings, grants or plans. For informational purposes, APPI's budget estimates for the foregoing activities are as follows: Puerto Rico, $760,000; Unrestricted Education Grants, $110,000; media plan, $33,575; public relations plan, $10,000; and GO Project Grant, $132,375. Furthermore, Guilford shall assume the conduct of the grant-in-aid studies set forth in Schedule 5.6.4 designated as committed at its sole expense (but only to the extent of the total committed amount for such studies as set forth in Schedule 5.6.4; provided, that, Guilford shall be responsible for any additional costs resulting from changes to such studies requested or directed by Guilford) and APPI shall be relieved of the obligation to conduct any activities so assumed by Guilford and shall terminate any grant-in-aid studies not set forth in Schedule 5.6.4; provided, however, that with respect to any grant-in-aid studies not set forth in Schedule 5.6.4, APPI shall refer to Guilford any inquiries from parties conducting those studies concerning resumption of their work.

Marketing and Sales Activities. (a) CryoLife shall have sole control and authority over its marketing activities for the Products. All business decisions concerning the sales and marketing of Products within the Field and the Territory, including the price, product packaging and configuration, and other sale and promotional terms thereof, will be within the sole discretion of CryoLife, except that CryoLife shall provide Medafor with a reasonable opportunity to review and approve all marketing materials relating to the Products for purposes of compliance with Regulatory Laws and to reasonably protect its rights in its trademarks and copyrights, which approval shall not be unreasonably withheld or delayed. CryoLife shall comply with the appropriate quality control instructions of Medafor as to the form and manner in which such Medafor trademarks shall be used In its discretion, CryoLife may conduct clinical trials for the Products in order to support CryoLife’s marketing and sales efforts. CryoLife agrees to provide Medafor with written results of such clinical trials for Medafor’s records and uses in areas outside of the Field.
Marketing and Sales Activities. Both Parties agree to jointly enter into marketing and sales activities. These activities shall include, but not be limited to the following: a joint marketing event calendar including but not limited to seminars and trade shows, collateral, white papers, a joint sales plan and sales kit. The Parties shall promptly create a co-marketing and sales plan which will identify specific targets, activities, responsibilities, and schedules to guide the Parties in these efforts. In that plan, both Parties will attempt to describe the Solution Development Roles and Responsibilities and the service Delivery Activities and Responsibilities. This plan will be evaluated quarterly by TNS and KPMG executive management and updated collaboratively as necessary by both Parties. All marketing material developed hereunder shall be subject to the reasonable review and approval of both Parties. Each Party will be responsible for its own marketing expenses.
Marketing and Sales Activities. From the date of Supplier’s receipt of HDE Approval for the Product and thereafter for the Term, Distributor shall make such Product available to its sales force and shall use its Commercially Reasonable Efforts to market, promote, distribute and sell such Product in the Territory. Distributor shall be solely responsible for the costs and expenses of establishing and maintaining its sales force and marketing functions for the Product in the Territory, and for conducting its other activities under this Agreement, and shall have the sole authority to control its sales force and direct the activities of its sales force.
