Marketability. All holdings should be sufficient in size and held in issues which are traded actively to facilitate timely transactions at a minimum cost and accurate market evaluation.

In the unlikely event that securities must be sold before their maturity, the securities must be easily remarketed. Prior to becoming a fully reporting company under the Securities Exchange Act of 1934, as amended (the "Exchange Act"), the Company shall maintain adequate current public information in satisfaction of the requirements for resales of restricted stock pursuant to Rule 144 promulgated under the Securities Act of 1933, as amended, and Rule 15c-2(11) promulgated under the Exchange Act, including, but not limited to, the publication over a nationally recognized reporting service or newswire of annual audited financial statements and semi-annual interim unaudited balance sheets and income statements, it being understood that the Company does not currently have audited financial statements for the year ended June 30, 1998. After the Company becomes a fully reporting company, the Company shall file all reports required under the Exchange Act.
