Common use of Market Activities Clause in Contracts

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of the Common Stock or (ii) sell, bid for, for or purchase the Common Stock in violation of Regulation MStock, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentCommon Stock.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock or (ii) sell, bid for, or purchase Common Stock in violation of under Regulation M, or pay anyone any compensation for soliciting purchases M of the Placement Shares other than the AgentExchange Act.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock or (ii) sell, bid for, or purchase Common Stock in violation of Regulation MStock, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock the Shares or (ii) sell, bid for, or purchase Common Stock in violation of Regulation Mthe Shares, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentCanaccord.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of the Common Stock or (ii) sell, bid for, or purchase Common Stock in violation of Regulation Mthe Placement Shares to be issued and sold pursuant to this Agreement, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Sales Agent.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would could reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company Common Stock to facilitate the sale or resale of the Common Stock or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentShares.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentAgents.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock the Shares or (ii) sell, bid for, or purchase Common Stock in violation of Regulation Mthe Shares, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentXx Xxxxx.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock Placement Shares or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock Shares or (ii) sell, bid for, or purchase Common Stock Shares in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent.Xxxxx-Xxxxxx, or (iii) take any action which would directly or indirectly violate Regulation M.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company or the Operating Partnership to facilitate the sale or resale of the Common Stock Shares or (ii) during any Stand Off Period sell, bid for, for or purchase the Common Stock in violation of Regulation MShares, or pay anyone any person any compensation for soliciting purchases of the Placement Common Shares other than the Agent or an Alternative Sales Agent.;

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock Shares or (ii) sell, bid for, or purchase Common Stock Shares in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock or (ii) sell, bid for, or purchase Common Stock in violation of Regulation Mthe Placement Shares, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentDistribution Agents.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock Placement Shares or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentMLV.

Market Activities. The Company will notnot take, directly or indirectly, (i) take any action designed to or that might be reasonably expected to cause or result in, or that constitutes or would reasonably be expected to constitute, the in stabilization or manipulation of the price of the Shares or any security of the Company other reference security, whether to facilitate the sale or resale of Common Stock the Shares or (ii) sellotherwise, bid forand the Company will, or purchase Common Stock in violation and shall cause each of its affiliates to, comply with all applicable provisions of Regulation M; provided, or pay anyone any compensation however, that the Company may bid for soliciting purchases of and purchase Common Shares in accordance with Rule 10b-18 under the Placement Shares other than Exchange Act, to the Agentextent available.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentDistribution Agents.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock the Ordinary Shares or (ii) sell, bid for, or purchase Common Stock Ordinary Shares in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Sales Agent.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock Ordinary Shares or (ii) sell, bid for, or purchase Common Stock Ordinary Shares in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent.

The Company will not, directly or indirectly, : (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock Stock; or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentAscendiant.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentFBR.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common shares of Preferred Stock or (ii) sell, bid for, or purchase Common shares of Preferred Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares Securities other than the AgentMLV.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock the Shares or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentBRFBR.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of the Common Stock Shares or (ii) during the Stand Off Period, sell, bid for, for or purchase the Common Stock in violation of Regulation MShares, or pay anyone any compensation for soliciting purchases of the Placement Common Shares other than the AgentBNYMCM.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock the Shares or (ii) sell, bid for, or purchase Common Stock in violation of Regulation Mthe Shares, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentCF&Co.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentBP.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock Placement Shares or (ii) sell, bid for, or purchase Common Stock in violation of Regulation Mthe Placement Shares, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentAgents.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock the Placement Shares or (ii) sell, bid for, or purchase Common Stock in violation of Regulation Mthe Placement Shares to be issued and sold pursuant to this Agreement, or pay anyone any compensation for soliciting purchases of the Placement Shares to be issued and sold pursuant to this Agreement other than the Agent.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock the Shares or (ii) sell, bid for, or purchase Common Stock in violation of Regulation Mthe Shares to be issued and sold pursuant to this Agreement, or pay anyone any compensation for soliciting purchases of the Placement Shares to be issued and sold pursuant to this Agreement other than the AgentUnderwriters.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock the Placement Shares or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock the Placement Shares or (ii) sell, bid for, or purchase Common Stock Shares in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentMLV.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock Ordinary Shares or (ii) sell, bid for, or purchase Common Stock in violation of Regulation MOrdinary Shares, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentXxxxx.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentFBR.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of shares of Common Stock or (ii) sell, bid for, or purchase shares of Common Stock in violation of Regulation MStock, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentManagers.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock the Shares or (ii) sell, bid for, or purchase Common Stock in violation of Regulation Mthe Shares, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentAgents.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock the Shares or (ii) during the Stand Off Period, sell, bid for, for or purchase Common Stock in violation of Regulation Mthe Shares, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentBNYMCM.

Market Activities. The Company will not, directly or indirectly, : (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock Stock; or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentAgents.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Preferred Stock or (ii) sell, bid for, or purchase Common Preferred Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentMLV.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock Placement Shares or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of the Common Stock Shares or (ii) during any Stand Off Period sell, bid for, for or purchase the Common Stock in violation of Regulation MShares, or pay anyone any compensation for soliciting purchases of the Placement Common Shares other than the Agent.;

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of the Common Stock or (ii) sell, bid for, or purchase the Common Stock in violation of Regulation Mto be issued and sold pursuant to this Agreement, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentXxxxx.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock the Placement Shares or (ii) sell, bid for, or purchase Common Stock the Placement Shares in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentMLV.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of the Common Stock Shares or (ii) sell, bid for, for or purchase the Common Stock in violation of Regulation MShares, or pay anyone any compensation for soliciting purchases of the Placement Common Shares other than the AgentBNYMCM.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock the Placement Shares or (ii) sell, bid for, or purchase Common Stock in violation of Regulation Mthe Placement Shares, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentMLV.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock or Preferred Shares or (ii) sell, bid for, or purchase Common Stock or Preferred Shares in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentMLV.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares Notes other than the AgentBRFBR.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock Shares or (ii) sell, bid for, or purchase Common Stock Shares in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock the Shares, or (ii) sell, bid for, or purchase Common Stock in violation of Regulation Mthe Shares to be issued and sold pursuant to the applicable Sales Agreements, or pay anyone any compensation for soliciting purchases of the Placement Shares to be issued and sold pursuant to the Sales Agreements other than the AgentAgent or the Alternative Agents.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock Shares or (ii) sell, bid for, or purchase Common Stock Shares in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock or (ii) sell, bid for, or purchase Common Stock in violation of Regulation MStock, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentAgents.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company under applicable laws and regulations to facilitate the sale or resale of Common Stock or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentOrdinary Shares.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock Ordinary Shares or (ii) sell, bid for, or purchase Common Stock Ordinary Shares in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentAgents.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock Ordinary Shares or (ii) sell, bid for, or purchase Common Stock Ordinary Shares in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock Placement Shares or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentMLV.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock Placement Shares or (ii) sell, bid for, or purchase Common Stock Placement Shares in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of the Common Stock Shares or (ii) during the Stand-Off Period, sell, bid for, for or purchase the Common Stock in violation of Regulation MShares, or pay anyone any compensation for soliciting purchases of the Placement Common Shares other than the AgentBNYMCM.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentWestpark.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock the Placement Shares or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of shares of Common Stock or (ii) sell, bid for, or purchase shares of Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent.

The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock the Placement Shares or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentAgents.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock the Shares or (ii) sell, bid for, or purchase Common Stock in violation of Regulation Mthe Shares to be issued and sold pursuant to this Agreement or any Alternative Equity Distribution Agreement, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent or any Alternative Placement Agent.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock the Shares or (ii) sell, bid for, or purchase Common Stock in violation of Regulation Mthe Shares, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentAgents.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of shares of Common Stock or (ii) sell, bid for, or purchase shares of Common Stock in violation of Regulation MStock, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentManager.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock or Preferred Stock or (ii) sell, bid for, or purchase Common Stock or Preferred Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock or (ii) sell, bid for, or purchase Common Stock in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentHCW.

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock or (ii) sell, bid for, or purchase Common Stock in violation of Regulation MStock, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the Agent.. 

Market Activities. The Company will not, directly or indirectly, (i) take any action designed to cause or result in, or that constitutes or would might reasonably be expected to constitute, the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of Common Stock the Placement Shares or (ii) sell, bid for, or purchase Common Stock Shares in violation of Regulation M, or pay anyone any compensation for soliciting purchases of the Placement Shares other than the AgentXxxxxxxxxx.
