MANAGER'S SERVICES. In the performance of its duties under this Agreement, it is agreed that Manager may enter into any contract on behalf of Owner with subsidiaries and affiliates of Manager for the furnishing of supplies and services to the Project, including but not limited to the purchasing of furniture, operating equipment, operating supplies, maintenance and landscaping services, and advertising, provided, however, that the net cost of such supplies and services to Owner is competitive with such similar services or supplies customarily used in the industry, whose services or supplies are reasonably available to the industry and whose services or supplies are reasonably available to the Project.

MANAGER'S SERVICES. MANAGER shall purchase, sell and exchange authorized securities and generally act as investment advisor and manager for and on behalf of SERS, as limited by law, for Fund assets allocated to it, provided, however, that SERS in its sole discretion may suspend MANAGER's execution, trading and other activities for SERS' account at any time by written notice transmitted pursuant to Section 18 of this Agreement. MANAGER'S SERVICES. 5.1 Manager shall provide all personnel necessary to accomplish guest check-in and check-out, marketing, guest requests, shopping for supplies for the property, GE and TA tax payments, bookkeeping services, and on-site inspections of the property both proceeding and following each occupancy. 5.2 Manager shall provide the guest with cleaning, paid for by the cleaning fees collected from the guest on each reservation, including: a. To clean the property on departure of each guest, limited to ordinary housekeeping operations and excluding maintenance due to damages or wear and tear such as carpet cleaning, laundry of drapes, cleaning of windows and any wall mounted mirror, or repair or replacement of property damaged or removed by a guest. 5.3 Manager to provide additional maid services and linen services as requested by guests during their occupancy or by the Owner at the beginning or during Owner’s occupancy for a special service fee to be agreed to and paid by the party requesting the additional services. a. Owner may elect to clean the property following Owners personal use of the property. If the Owner elects to clean the property, Owner shall give Manager notice of the election at the time of booking. Only the Owner of record will be allowed to clean the property themselves. All other guests, including those occupying under the Owner, shall be subject to standard cleaning fees of the Manager. b. If Owner elects to clean the property on the Owner’s vacating of the property and, on Manager’s inspection preceding a guest occupancy, the Manager in its sole discretion deems further housekeeping and linen service is necessary to properly prepare the property for occupancy, the Manager may perform the services at the Owner’s expense and deduct the service fee from the Owner’s share of rents. 5.4 Manager shall maintain a separate accounting record of all receipts, expenditures, disbursements and reservations regarding the operations of the property, which records will be available for Owner’s inspection during normal business hours. A statement record for each month of operation is available online through the Owners’ portal on our website. 5.5 Manager shall provide services as a liaison between the Owner and any guest who may make a claim or have a dispute with the Owner, and may assist in negotiating the resolution of any such claim or dispute, but in no event shall the Manager be responsible for the solution to any such claim or dispute, including costs and ...

MANAGER'S SERVICES. In the performance of its duties under this Agreement and subject to the limitations set forth in Section 2.05 hereof, it is agreed that Manager may enter into any contract on behalf of Owner with subsidiaries and affiliates of Manager for the furnishing of supplies and services to the Project, including but not limited to the purchasing of furniture, operating equipment, operating supplies, maintenance and landscaping services, and advertising, provided, however, that the net cost of such supplies and services to Owner is competitive with such similar services or supplies customarily used in the industry, whose services or supplies are reasonably available to the industry and whose services or supplies are reasonably available to the Project. Manager may implement a renter's insurance program through an insurance company affiliated with Manager provided rates are comparable with the industry standard.

MANAGER'S SERVICES. Manager (at its own expense, except as provided in Section 3(e)) shall provide the following services, any or all of which services Manager may subcontract and delegate to others (including without limitation to affiliates of the Manager or to Crested Butte, LLC or any other third party selected by Manager):

MANAGER'S SERVICES. Manager shall manage, operate, maintain and promote the Cemetery and perform the following services: (a) Supervise and be responsible for all aspects of the operation, maintenance, management and promotion of the Cemetery and all activities thereon. (b) Except as hereinafter provided, maintain and keep the Cemetery in good repair and in a clean, safe and orderly condition and in furtherance thereof, develop and implement efficient maintenance programs for the maintenance of the Cemetery including without limitation: (i) custodial, repair and maintenance of all buildings; (ii) repair and maintenance of all interior roads and streets, walls, and fences; and (iii) maintenance of trees, grass and landscaped areas including watering, fertilizing, mowing, seeding, reconditioning and reseeding, and weed control and elimination programs. Manager's obligation under this Agreement includes the maintenance, repair and replacement of the Cemetery water and irrigation system, except that during the term of this Agreement, City shall repair, maintain and replace Cemetery water mains. For purpose of this provision, "water mains" means any water line servicing the Cemetery two inches (2") in diameter or larger. Manager shall pay the first one thousand five hundred dollars ($1,500) per occurrence, to repair and/or replace all interior roads and streets, walls, and fences. Thereafter, the City shall pay any and all remaining amounts necessary to repair and/or replace all interior roads and streets, walls, and fences so long as the repair and/or replacement is not necessitated by the negligence of Manager, its employees, agents, subcontractors, guests and/or invitees and the damaged road, street, wall, or fence has received proper routine maintenance and care while under the possession and control of Manager. Manager shall report all damage requiring repair or replacement pursuant to this provision to City within twenty-four (24) hours of its discovery of the same. The City may, within its sole and absolute discretion, choose not to repair or replace any road, street, wall, or fence if it determines the repair and/or replacement is not necessary to the operation of the Cemetery. (c) Develop and implement efficient management programs for the operation, scheduling of and use of the Cemetery and all activities and facilities thereon and the provision of services to the public including the presence of Manager's personnel at the Cemetery. MANAGER'S SERVICES. In the performance of its duties under this Agreement, it is agreed that Manager may, upon Owner’s consent (which may be conditioned), enter into any contract on behalf of Owner with subsidiaries and affiliates of Manager for the furnishing of services or supplies to the Project, including but not limited to the purchasing of operating supplies, maintenance and advertising which are otherwise in accordance with the requirements of this Agreement, provided that (i) the net cost to Owner therefor is no greater than the cost for such services or supplies, as applicable, if the same had been provided by qualified, third party providers not affiliated with Manager and whose services or supplies are reasonably available to the Project, and (ii) such contracts provide that the same automatically terminate upon the expiration or earlier termination of this Agreement. Upon request by Owner, Manager shall provide reasonable evidence of third party market pricing on such services or supplies which are provided by Manager’s subsidiaries or affiliates.
