Managers of the Surviving Company. The parties hereto shall take all actions necessary so that the individuals designated in writing by Parent prior to the Effective Time shall, from and after the Effective Time, be the managers of the Surviving Company until their successors have been duly elected or appointed and qualified or until their earlier death, resignation or removal in accordance with the Surviving Company LLC Agreement and applicable Law.

Managers of the Surviving Company. The managers of Merger Sub immediately prior to the Effective Time shall be the managers of the Surviving Company, each to hold office from the Effective Time in accordance with the limited liability company agreement of the Surviving Company and until his or her successor is duly elected and qualified.

Election of an officer shall not of itself create contract rights.
