Management of Services. The Services Provider shall manage the Services Provider’s services and administer any project authorized pursuant to this Agreement. The Services Provider shall provide and/or coordinate the basic services necessary and reasonably inferable for the complete performance of any project authorized pursuant to this Agreement.

Management of Services. Cyclomedia is at all times entitled to make changes in the log-in procedure. Cyclomedia will notify Customer about such changes as soon as possible. Without prior notice being required, Cyclomedia is entitled to discontinue the operation of the System and/or the Services temporarily or to restrict use to the extent this is reasonably necessary for maintenance purposes or for necessary adjustments to or improvements in the System and/or Services without the Customer or an Authorized User being entitled to claim any compensation from Cyclomedia.

Management of Services. Management of, and control over, the provision of the Services provided hereunder (including the determination or designation at any time of the equipment, employees and other resources of Provider, its Affiliates or any Subcontractor engaged in accordance with Section 2.04 to be used in connection with the provision of such Services as set forth herein) shall reside solely with Provider; provided that (i) the Services shall, at all times, be provided in accordance with the standards and requirements set forth herein and in the Services Schedules, and (ii) the Services shall, at all times, be administered by the parties, the members of each of their respective Groups and each of their respective employees, officers, directors and agents in accordance with the governance model set forth on Schedule C (the “Governance Model”). Without limiting the generality of the foregoing, except as provided in the Services Schedules or the Governance Model, all labor matters relating to any employees of Provider, its Affiliates and any Subcontractor shall be within the exclusive control of such entity, and Recipient shall not have any rights with respect to such matters. Except as provided in the Services Schedules or Section 3.01, Provider shall be solely responsible for the payment of all salary and benefits and all applicable Taxes and premiums and remittances with respect to employees of Provider used to provide any Services hereunder. Except as expressly provided in the Services Schedules, Provider shall be an independent contractor in connection with the performance of Services hereunder for any and all purposes (including federal or state tax purposes), and the Persons performing Services in connection herewith shall not be deemed to be employees or agents of Recipient.
Management of Services. Each Party shall designate a project manager (a “Project Manager”) to report and discuss issues with respect to the provision of the Services, and shall give prior written notice to the other Party in the event it designates a replacement Project Manager. The Supplier’s initial Project Manager shall be [●] and the Receiver’s initial Project Manager shall be [●]. The Project Managers shall discuss the performance of the Services as often as reasonably necessary to ensure the orderly provision of the Services. The Parties agree that the Receiver shall submit questions or requests for or regarding the Services to the Supplier’s Project Manager through its own Project Manager.

Management of Services. In addition to any other rights Company has under this Agreement, Company reserves the right, in Company’s sole discretion, to temporarily suspend Customer’s access to and use of any of the Services: (a) during planned downtime for upgrades and maintenance to such Service(s) (of which Company will notify Customer as soon as reasonably practicable through our forum page and/or through a notice to Customer’s Account owner and Users) (“Planned Downtime”); or (b) during any unavailability caused by Force Majeure Events. Company will use commercially reasonable efforts to schedule Planned Downtime for weekends (Pacific time zone) and other off-peak hours. To the extent that the Services rely upon the Netsuite Platform, availability of the Service is subject to the availability of the Netsuite Platform. Company shall not responsible or liable for any unavailability of the Service that is attributable to the unavailability of the Netsuite Platform.
Management of Services. We reserve the right but not the obligation to: (1) monitor the Services for violations of these Terms of Use; (2) take appropriate legal action against anyone who, at our sole discretion, violates the law or these Terms of Use, including, without limitation, reporting such user to law enforcement authorities;

Without limiting the generality of the foregoing, except as provided in the SOWs hereto, all labor matters relating to any employees of Qorvo, its Affiliates and any subcontractor shall be within the exclusive control of such entity, and Zomedica shall not have any rights with respect to such matters. Qorvo shall be solely responsible for the payment of all salary and benefits and all taxes (including, except as provided in Section 6, income tax, social security taxes, unemployment compensation, workers’ compensation tax, other employment taxes or withholdings) and premiums and remittances with respect to employees used to provide any Services hereunder.
