Common use of Management of Business Clause in Contracts

Management of Business. Subject to the rights and powers of the General Partner hereunder, no Limited Partner or Assignee (other than the General Partner, any of its Affiliates or any officer, director, member, employee, partner, agent or trustee of the General Partner, the Partnership or any of their Affiliates, in their capacity as such) shall take part in the operations, management or control (within the meaning of the Act) of the Partnership’s business, transact any business in the Partnership’s name or have the power to sign documents for or otherwise bind the Partnership. The transaction of any such business by the General Partner, any of its Affiliates or any officer, director, member, employee, partner, agent, representative, or trustee of the General Partner, the Partnership or any of their Affiliates, in their capacity as such, shall not affect, impair or eliminate the limitations on the liability of the Limited Partners or Assignees under this Agreement.

Management of Business. The transaction of any such business by the General Partner, any of its Affiliates or any officer, director, member, employee, partner, agent, representative, agent or trustee representative of the General Partner, the Partnership or any of their Affiliates, in their capacity as such, shall not affect, impair or eliminate the limitations on the liability of the Limited Partners or Assignees under this Agreement.

The transaction of any such the business on behalf of the Partnership by the General Partner, any Affiliate of its Affiliates or the General Partner, any officer, director, member, employee, partner, agent, representative, agent or trustee of the General Partner, the Partnership or any Affiliates of their Affiliatesthe Partnership, in their capacity as such, shall not affect, impair or eliminate the limitations on the liability of the Limited Partners or Assignees under this Agreement.

The transaction of any such business by the General Partner, the Special General Partner, any of its their Affiliates or any officer, director, member, employee, partner, agent, representative, agent or trustee of the General Partner, the Special General Partner, the Partnership or any of their Affiliates, in their capacity capacities as such, shall not affect, impair or eliminate the limitations on the liability of the Limited Partners or Assignees under this Agreement.

The transaction of any such business by the General Partner, any of its Affiliates or any officer, director, member, employee, general partner, agent, representative, agent or trustee of the General Partner, the Partnership or any of their Subsidiaries and Affiliates, in their capacity as such, shall not affect, impair or eliminate the limitations on the liability of the Limited Partners or Assignees under this Agreement.

Management of Business. Subject to None of Metropolis, the rights and powers of the General Partner hereunder, no Limited Partner or any Assignee thereof (other than the General Partner, any of its Affiliates or any officer, director, member, employee, partner, agent or trustee of the General Partner, the Partnership or any of their Affiliates, in their capacity as such) shall take part in the operationsoperation, management or control (within the meaning of the Act) of the Partnership’s 's business, transact any business in the Partnership’s 's name or have the power to sign documents for or otherwise bind the Partnership. The transaction of any such business by the General Partner, any of its Affiliates or any officer, director, member, employee, partner, agent, representative, agent or trustee of the General Partner, the Partnership or any of their Affiliates, in their capacity as such, shall not affect, impair or eliminate the limitations on the liability of Metropolis, the Limited Partners Partner or Assignees any Assignee thereof under this Agreement.
