Management of Borrower. Management of the Borrower shall be maintained as set forth on Schedule 5.01(o) hereto, unless otherwise approved in Lender’s reasonable discretion;
Management of Borrower. The Borrower will cause Universal or a Subsidiary or Affiliate of Universal at all times to manage the Theme Parks, provided that the Borrower may upon the prior written consent of the Required Banks, which consent shall not be unreasonably withheld, replace such legal entity with a new manager.

Powell, Chairman Xxxxxxxx xx xxe Board of Borrower; (ii) Rebecca Powell Casey, Cxxxxxxx xxx Xhief Xxxxxtive Officer of Borrower; (iii) H. Rainey Powell, President ox Xxxxxxxr; and (iv) Kenneth C. Row, Executive Vixx Xxesident of Borrower."
