Management Documents. Receipt by the Agent of a duly executed copy of each Management Document, in each case in form and substance satisfactory to the Agent in its sole discretion.

The form of resident lease for the Project shall be based on the Housing Authority’s standard form lease.

The Company shall, as of the Closing Date, have sole ownership of all Management Rights thereunder, subject to the rights to terminate pursuant to the terms of certain of the Management Documents. All of the representations, warranties and covenants set forth in the Management Documents (other than Article IV of the Assignments of Management Continuity Agreement) are incorporated herein by reference with the same force and effect as if completely restated herein.
