Management Documents. The Prior Management Agreements, Prior Owner Agreements and the Prior Pooling Agreements comprise all agreements and contracts existing as of the date hereof which relate to the provision of property management services at the Facilities by Manager. Transferor represents and warrants to Transferee that except for the Prior Management Agreements, Prior Owner Agreements and the Prior Pooling Agreement, as of the date hereof, there exists no other agreements, contracts or license agreement with respect to the provision of property management services at the Facilities.
Management Documents. The Housing Authority shall prepare all applicable management documents needed for the Closing of the Project including, but not limited to (as applicable), a management agreement, management plan, tenant selection policy and grievance procedures for Project units. The Company shall, as of the Closing Date, have sole ownership of all Management Rights thereunder, subject to the rights to terminate pursuant to the terms of certain of the Management Documents. All of the representations, warranties and covenants set forth in the Management Documents (other than Article IV of the Assignments of Management Continuity Agreement) are incorporated herein by reference with the same force and effect as if completely restated herein.
